Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is worked out from the company’s accounting reference period and its filing history. Once that date has passed and the required accounts have not been delivered, those accounts are treated as overdue. This is a filing position rather than a change to the company’s legal status, and it applies whether or not the company has traded during the period. Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. The accounts remain outstanding until they are prepared, approved by the director and filed. Being overdue is a filing position rather than a change to the company's status, so it does not by itself mean the company has been removed from the register or that its legal existence has changed.

There are several common reasons: the director was unaware of the deadline, records such as bank statements or invoices were incomplete, bookkeeping fell behind, or a previous accountant stopped acting and no replacement was appointed. In some cases a company simply stopped trading and assumed nothing needed to be filed. The accounts are still overdue regardless of the reason, so it is worth establishing which periods are outstanding and dealing with them in order.

Yes, in most cases. An overdue filing means the deadline has been missed, not that the obligation has disappeared. The outstanding accounts still need to be prepared and delivered to Companies House where required. Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action, so addressing the position sooner is generally preferable — although filing does not guarantee that any strike-off process already under way will be stopped.

Yes. Dormancy and overdue filing are separate issues. A dormant company that did not deliver its annual accounts by the applicable deadline can still have overdue accounts, and dormant status does not remove the Companies House filing obligation. Even where a company has not traded and has no income, accounts for the relevant period may still be required, although the content of those accounts depends on the company's circumstances.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The size of any penalty depends on how late the accounts are and on the company's own circumstances, so it is not the same for every company, and a penalty is not optional. Paying a penalty does not remove the requirement to file the outstanding accounts — filing and penalties are dealt with as separate matters, and the consequences can become more serious the longer the accounts remain outstanding.

Where more than one period is outstanding, each one may need to be addressed separately, which can mean preparing and filing several sets of accounts. Filing a single set does not automatically resolve the other outstanding periods. Some companies with overdue accounts may qualify to prepare micro-entity accounts under FRS 105, the financial reporting standard that applies to qualifying entities using the micro-entity framework. Eligibility is not automatic simply because a business is small, so the company's legal structure, accounting period and circumstances need to be considered before the framework is confirmed. Where a company qualifies, that basis can simplify the disclosures required.

Yes. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable — dealing with one does not satisfy the other. A confirmation statement is also a separate Companies House filing and is not replaced by filing overdue accounts.
