Company accounts become overdue when the statutory filing deadline for that accounting period has passed and the required accounts have not yet been delivered to Companies House. The deadline is not identical for every company and depends on factors such as the company's accounting reference period and whether it is filing a first set of accounts. Once the deadline has passed, the accounts remain outstanding until they are properly prepared, approved by the directors and filed, so it is worth confirming your position rather than assuming the deadline has moved.

In most cases, yes. Overdue accounts still normally need to be prepared and delivered to Companies House where the filing obligation applies. Filing the accounts does not by itself cancel any late-filing penalty that may have been incurred, and the two matters are handled separately. Depending on the circumstances, there may also be other outstanding compliance items, such as a confirmation statement or a Corporation Tax Return, to address at the same time.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have an annual accounts filing obligation and, if it did not file the required accounts by the applicable deadline, those accounts can be overdue. Dormant status does not automatically remove the requirement to file, although the accounts themselves are often prepared on a simpler basis, depending on the company's circumstances.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. Whether a penalty applies and how it is calculated depends on the circumstances and how late the filing is, so it should not be assumed that every company is treated in the same way. Paying a penalty does not remove the requirement to file the accounts, and the longer accounts remain outstanding, the more serious the consequences may become.

Yes. The penalty and the filing obligation are separate matters. Paying a penalty does not satisfy the requirement to prepare and deliver the outstanding accounts to Companies House, and it does not automatically cancel or reduce anything else. If you believe a penalty was issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules.

Each outstanding period usually needs to be dealt with separately, which can mean preparing and filing more than one set of accounts. We review which periods are affected, what information is available for each one and the order in which the filings should be made. Filing one set of accounts does not automatically resolve the other outstanding periods, so it helps to treat the position as a whole.

Some companies may qualify for the micro-entity framework, and where they do, the overdue accounts can often be prepared on that basis. Not every company qualifies, and eligibility depends on the company's size, legal structure, accounting period and reporting framework. FRS 105 is the financial reporting standard applied by qualifying entities using the micro-entity framework, and we confirm the appropriate basis before preparation begins.
