Company accounts become overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have not yet been delivered to Companies House. The filing obligation itself does not lapse at that point — the accounts still need to be prepared and filed. If you are unsure which periods are outstanding, we can check the Companies House record for your company and confirm what remains to be done.

Yes. Dormancy and overdue filing are separate matters. A dormant company may still have an obligation to file annual accounts with Companies House, even where there has been no trading activity or income during the period. If a dormant company has missed its filing deadline, those accounts can still be outstanding and may need to be prepared and delivered, subject to the applicable requirements for dormant company filings.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The penalty that may apply depends on the circumstances and how late the accounts are, so we do not treat every situation as identical. It is also worth being clear that dealing with a penalty and filing the outstanding accounts are separate matters — paying a penalty does not remove the requirement to file.

In many cases, yes. Where a company has not filed for several accounting periods, each outstanding period generally needs its own set of accounts prepared and delivered separately, and filing one period does not automatically clear the others. We can review the full picture, identify which years are affected, and work through them in sequence. The time this takes depends on the records available and the circumstances of each period.

Not automatically. Companies House may take action against companies that do not meet their filing obligations, and continued non-compliance can increase the risk of compulsory strike-off action. Filing outstanding accounts is part of meeting those obligations, but we cannot guarantee that it will prevent or reverse strike-off action. If your company has already received a strike-off notice or has been dissolved, that situation may need separate advice, including restoration or legal guidance, rather than being treated as a routine overdue filing.

No. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not by itself settle any outstanding Corporation Tax obligations. Where a company has both overdue accounts and overdue Corporation Tax Returns, these are separate compliance matters that may each need to be addressed.

No. A confirmation statement is a separate filing made to Companies House and is not the same as annual accounts. Filing overdue accounts does not replace the confirmation statement, and a company may still need to submit its confirmation statement and keep its Companies House information accurate and up to date.

Typically we would ask for bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts where available, and the company's registration details. Where records are incomplete, we can discuss what can realistically be reconstructed. Once prepared, the accounts are shared with you for review and authorisation before anything is submitted.
