Company accounts become overdue when the applicable filing deadline has passed and the required accounts have not yet been delivered to Companies House. That deadline depends on the company's accounting reference period and its circumstances, so it is not the same for every company. Being overdue simply means a statutory filing obligation remains outstanding — it does not mean the company has automatically been dissolved or removed from the Companies House register.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, they become overdue in the same way as any other company's accounts. Whether a company is treated as dormant, and what it needs to file, depends on the circumstances, and dormancy does not automatically remove the requirement to file annual accounts.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. Penalty levels are set by Companies House and depend on factors such as how late the accounts are and the company's circumstances, so they are not something we determine or vary. Where a penalty has been applied, it may be possible to appeal depending on the circumstances and the applicable Companies House rules.

Yes. Paying a penalty and filing the outstanding accounts are separate matters. Settling a penalty does not remove the requirement to prepare and deliver the accounts, and it does not resolve other outstanding filing obligations the company may have. The accounts still need to be prepared and submitted to Companies House where required.

Where more than one accounting period is outstanding, each set of accounts generally needs to be prepared and filed separately, and the figures for a later period often depend on the earlier periods being finalised first. There is no single step that closes every outstanding period at once. We can review the company's filing history, identify which periods remain outstanding and work through them in a sensible order.

Some companies may qualify for the micro-entity reporting framework set out in FRS 105, and where a company qualifies, its overdue accounts can potentially be prepared on that basis. Not every company qualifies — eligibility depends on factors such as the company's size, its accounting period and the applicable requirements. A company that used the micro-entity framework previously does not automatically qualify for a later period, so eligibility is confirmed before the accounts are prepared.

They are separate obligations. Statutory accounts are delivered to Companies House where required, Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement is a distinct Companies House filing. Delivering overdue accounts does not automatically satisfy HMRC Corporation Tax obligations or replace a confirmation statement, so these matters may need to be dealt with alongside the accounts.

Where a strike-off notice or warning has been received, it is important to act without delay, as these matters may be subject to separate Companies House procedures and timescales. Preparing and filing outstanding accounts does not guarantee that strike-off action will be halted or reversed. If the company has already been dissolved, the position usually requires restoration or separate legal advice rather than an ordinary overdue accounts filing, and we can review the circumstances and explain what we are able to assist with.
