What Overdue Company Accounts Are and Why They Need Sorting

Company accounts become overdue when a company has passed the applicable statutory filing deadline without delivering its accounts to Companies House. The exact deadline is not the same for every company; it generally depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and its individual circumstances. Once that date has passed and the accounts remain outstanding, the filing obligation does not disappear, and the company’s position on the public register will show the accounts as late. In practice, most directors we speak to in Tiverton have not ignored their accounts deliberately. Often the records are incomplete, the year-end passed during a quiet trading spell, or the company had no accountant in place at the time. Whatever the reason, preparing and filing the outstanding statutory accounts is usually the quickest way to move things forward. An overdue filing does not remove the requirement; it means the filing is late. Yes. Dormancy and late filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, the accounts are overdue regardless of the fact that the company has not been trading. Dormant status does not automatically exempt a company from filing annual accounts.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the amount can vary depending on how late the filing is and the type of company involved, so not every case is treated the same. Separately, persistent failure to meet filing obligations can increase the risk of Companies House taking further action against the company. Filing the outstanding accounts does not automatically cancel or reduce any penalty that has already been applied — the penalty and the filing requirement are two distinct matters.

No. Paying a penalty does not satisfy the underlying filing obligation, and it does not mean the accounts no longer need to be delivered to Companies House. A company may also want to consider whether an appeal against a penalty is appropriate in its circumstances, although eligibility for an appeal depends on the applicable Companies House rules and the reasons for the late filing. An accountant cannot automatically reduce, remove or cancel a penalty.

Where a company has more than one outstanding period, each set of accounts generally needs to be prepared and filed separately, so the work involved can be greater than a single year's filing. It is important to be clear that filing one period does not automatically resolve the others, and no specific completion timeframe should be assumed in advance.

Some companies do qualify for the micro-entity reporting framework, and where a company qualifies, micro-entity accounts and the FRS 105 standard may be relevant to preparing the outstanding accounts. However, eligibility depends on the company's size, legal structure and accounting period, and not every small company qualifies. We confirm the appropriate reporting framework for your circumstances before any accounts are prepared.
