We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

Understanding Overdue Company Accounts and What Directors in Tonbridge Should Do Next

Company accounts become overdue when the statutory deadline for delivering them to Companies House has passed and the required accounts have not yet been filed. That deadline is not the same for every company: it depends on factors such as the company’s accounting reference period, whether it is the first set of accounts and the company’s individual circumstances, so it is worth checking the specific due date recorded for your company rather than assuming. Once that date has passed, the obligation to prepare and deliver the accounts does not disappear. Outstanding accounts generally still need to be prepared and filed, and Companies House can apply late-filing penalties when accounts are delivered after the applicable deadline. Penalties and filing requirements are separate matters — paying a penalty does not remove the need to file. Leaving accounts outstanding for longer can make matters more difficult to unpick, and persistent non-compliance may increase the risk of further action by Companies House, which is why directors in Tonbridge often find it easier to address overdue accounts sooner rather than later. It is also worth remembering that an overdue filing simply means the deadline has passed and the accounts remain outstanding; it does not automatically change the company’s status. Alongside the accounts themselves, other compliance matters may need attention, such as a confirmation statement or Corporation Tax obligations with HMRC, and these are dealt with separately. Dormant companies and companies that have not traded can still have filing obligations, and the reporting framework used — micro-entity accounts under FRS 105, small company accounts or another applicable basis — depends on the company’s size, structure and circumstances.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the deadline for delivering them to Companies House has passed and they have not been filed. The due date is linked to the company's accounting reference period and other factors, so it can differ from one company to another. An overdue filing means the deadline has been missed and the accounts remain outstanding; it does not, by itself, change the company's legal status, but the filing obligation continues and late-filing penalties may apply.

Yes, in most cases the accounts still need to be prepared and delivered to Companies House. Missing the deadline does not remove the requirement to file. Companies House can impose a late-filing penalty when accounts arrive after the applicable date, and that penalty is a separate matter from the filing itself — settling a penalty does not cancel the obligation to deliver the outstanding accounts. Where a company also has overdue Corporation Tax Returns or an outstanding confirmation statement, those are separate compliance matters that may need to be addressed as well.

It can. Dormancy and overdue filing are two separate issues: a company may be dormant and still fail to meet its accounts filing deadline, which leaves those accounts overdue. Dormant companies can still have Companies House filing obligations, and dormant status does not automatically exempt a company from filing. Where a company has not traded, the relevant filing requirements still depend on its circumstances and its Companies House record.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty, and the amount can vary depending on how late the accounts are and the type of company. Paying a penalty does not remove the requirement to file the accounts, and it does not clear other outstanding filings. If you think a penalty should be reconsidered, any appeal depends on the circumstances and the applicable Companies House rules; we can review the position with you, but no particular outcome can be guaranteed.

Where more than one accounting period is outstanding, each period generally needs its own set of statutory accounts prepared and delivered, so filing one set will not usually clear the others. The work involved depends on the records available and the number of periods concerned. Alongside the accounts, there may be separate Corporation Tax Returns such as CT600 to submit to HMRC and confirmation statements to file with Companies House, and these are handled separately from the statutory accounts.

An overdue filing does not automatically suspend, dissolve or remove a company from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or the company has been dissolved, the position usually needs separate consideration — restoration or legal advice may be required rather than a routine overdue accounts filing — and we can review your circumstances and explain what the next steps may involve.

Some companies may be eligible to prepare micro-entity accounts under FRS 105, the financial reporting standard for entities that meet the micro-entity criteria. Eligibility depends on the company's size, legal structure and the accounting period concerned, so it is not automatic — a small company does not necessarily qualify, and an overdue filing should not be assumed to be a micro-entity filing simply because the business is small. We consider the appropriate reporting framework for each period before preparing any accounts.

We act for limited companies and other eligible entities in Tonbridge and the surrounding area, and we can help you work through outstanding filing requirements. That typically involves reviewing your Companies House record and financial information, preparing statutory accounts for each outstanding accounting period, taking you through the figures for review and approval, and arranging delivery to Companies House where the accounts are required. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we work on transparent fixed-fee pricing with no hidden costs. Where other obligations such as confirmation statements or Corporation Tax Returns are also outstanding, we can discuss how these are dealt with separately.
