Yes. Once the statutory deadline for an accounting period has passed without the accounts being delivered, the filing obligation itself does not disappear. The accounts still need to be prepared and submitted to Companies House where required, even though they are late. In most cases the practical route is to bring the outstanding period up to date first, then deal with any later periods that have also fallen due.

There are many reasons, and they are usually practical rather than deliberate. Records may not have been kept consistently, a company may have stopped trading and the director assumed nothing needed to be filed, the previous accountant may have stopped acting, or the director may simply not have realised a deadline had passed. Whatever the cause, the position is the same: the required accounts remain outstanding and the sooner they are prepared, the easier the process tends to be.

Yes, and this is a common misunderstanding. Dormancy and overdue filing are two separate issues. A dormant company still has annual accounts filing obligations, and where those accounts were not delivered by the applicable deadline, they are overdue. Some dormant companies may be able to file simpler accounts, but the company's specific circumstances need to be checked before deciding what is appropriate.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty is not optional, and the amount can vary between companies, so we would not quote a figure without checking the circumstances. It is also worth being clear that paying a penalty does not remove the requirement to file the outstanding accounts — those are separate matters. If a penalty has been applied, we can explain how the appeals process works and whether an appeal may be appropriate, although eligibility depends on the circumstances and the applicable Companies House rules.

Where a company has fallen behind, more than one accounting period may be outstanding. Each period generally needs to be addressed in its own right: separate accounts covering the relevant period will usually need to be prepared and filed, and the figures for one year often depend on the position brought forward from the previous year. Filing a single set of accounts does not automatically clear the other outstanding periods, so it helps to map out the full picture before starting.

Not automatically. An overdue filing means the deadline has passed and the accounts remain outstanding; it does not mean the company has been suspended or removed from the register. That said, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or the company has been dissolved, the situation may need separate restoration or legal advice rather than being treated as a straightforward overdue filing.

It depends on the company. Some companies with outstanding accounts may qualify for the micro-entity reporting framework and FRS 105, which is the financial reporting standard applicable to qualifying entities using that framework. However, not every company qualifies, and eligibility must be assessed against the company's legal structure, accounting period and circumstances. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, so the framework should be confirmed rather than assumed.

They are separate compliance matters, although they often overlap in practice. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a separate submission to Companies House. Submitting overdue accounts to Companies House does not automatically satisfy HMRC obligations, so where a company also has outstanding Corporation Tax Returns or confirmation statements, each of those needs to be addressed individually.
