That deadline is not the same for every company — it is determined by reference to the company's accounting reference period and other circumstances, such as whether the accounts are the first set the company has prepared. Once the applicable deadline has passed and the accounts remain outstanding, they are treated as overdue, regardless of whether the company has been trading during the period.

Yes. Where a company is required to prepare and file annual accounts, that obligation does not disappear because the deadline has been missed. The accounts should still be prepared and delivered to Companies House in the applicable form. Depending on the circumstances, the company may also need to deal separately with an outstanding confirmation statement, Corporation Tax matters with HMRC, or other filings that have been missed, as these are distinct compliance obligations.

Yes. Dormancy and late filing are separate issues. A dormant company may still have an annual accounts filing obligation with Companies House, and if the relevant deadline passed without those accounts being delivered, the accounts are overdue. Paying a penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and the accounts still need to be filed. In some situations an appeal against a penalty may be possible, but whether an appeal is available depends on the applicable Companies House rules and the specific circumstances of the case.

Each outstanding accounting period generally has its own set of accounts, and each period normally needs to be addressed separately. We would review the Companies House record and any HMRC position to establish exactly which periods are outstanding, then work through them in turn using the accounting records and information available for each one. Filing a single period does not resolve the others, so the sequence and the information required for each period are usually confirmed at the outset.

Not every small company qualifies, and it should not be assumed that overdue accounts are micro-entity accounts simply because the business is small — the applicable framework may be micro-entity accounts, small-company accounts or another form of statutory accounts.
