The deadline is based on the company's accounting reference period and its particular circumstances, so it is not the same for every company. A company can be in an overdue position even where trading has been quiet, the records are incomplete, or the director believed there was nothing that needed to be filed.

In most cases, yes. The filing obligation does not disappear simply because the deadline has been missed. Where accounts are required to be delivered to Companies House, they still need to be prepared and filed, generally for each accounting period concerned. There are situations, such as a company that has already been dissolved, that need to be considered separately and may call for different advice, so it is worth reviewing the company's actual position rather than assuming what is required.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, they become overdue in the same way as for a trading company. Depending on the circumstances, a dormant company may be able to file dormant accounts, but dormant status on its own does not remove the requirement to file.

Where accounts are delivered to Companies House after the applicable deadline, Companies House can impose a late-filing penalty.
