What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, and once that date has passed without the required accounts being filed, they are treated as overdue. The deadline is not the same for every company — it can depend on the company’s accounting reference period, whether these are the first accounts being filed and other circumstances — so the practical starting point is usually to confirm exactly which accounting periods remain outstanding and when each of them fell due. Overdue accounts cannot simply be set aside because a business is dormant, has not traded or has received no income during the period; dormant companies may still have annual accounts filing obligations, and the relevant deadline and whether accounts have been delivered to Companies House are what determine the position. Dealing with overdue company accounts sooner rather than later is generally sensible, because Companies House can impose late-filing penalties when accounts are delivered after the deadline, and these penalties are a separate matter from the requirement to file the outstanding accounts themselves. Companies House may also take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action, although an overdue filing does not on its own change a company’s status or remove it from the register. The relevant deadline depends on the company's accounting reference period and its particular circumstances, so it is not the same date for every company. Being overdue does not change the underlying obligation — the accounts still need to be prepared and filed where required, and identifying exactly which periods are outstanding is normally the first step.

Most late filings arise from practical difficulties rather than a decision to ignore the rules. Common causes include incomplete bookkeeping records, a change of accountant, a company that has been dormant or inactive, illness among directors, or a misunderstanding about which filing deadline applied. Whatever the reason, the accounts remain outstanding until they are prepared and delivered to Companies House, so establishing the current filing position is usually where the work begins.

Yes. Dormancy and overdue filing are separate issues. A company that has not traded may still have Companies House filing obligations, and if the applicable deadline passed without the required accounts being delivered, those accounts are overdue. Dormant status does not remove the need to file annual accounts where they are required, although the accounts themselves may be prepared on a simpler basis depending on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. That penalty is a separate matter from the filing requirement itself: paying a penalty does not remove the need to prepare and deliver the outstanding accounts, and the accounts remain overdue until they are filed. Whether a penalty can be appealed depends on the circumstances and the applicable Companies House rules, and we can review your position with you.

They can usually be reviewed, but each outstanding period may need to be addressed separately. Several sets of statutory accounts may need to be prepared and delivered, and the order in which they are dealt with can matter, particularly where later periods depend on figures from earlier ones. We can establish which periods remain open, what information is available for each, and set out a sensible order of work based on your company's circumstances.

Accounts simply being overdue does not automatically change a company's status or remove it from the Companies House register. Even so, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If your company has already received a strike-off notice, or has been dissolved, the situation may require separate restoration or legal advice rather than being treated as an ordinary overdue filing.

Not automatically. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing. Bringing overdue accounts up to date does not by itself satisfy outstanding HMRC obligations or replace a confirmation statement, so it is worth checking whether any of these are also outstanding for the company.

The information required depends on the company's circumstances and the accounting period being prepared, but it commonly includes bookkeeping records, bank statements, invoices, expense records, previous accounts and up-to-date company details. Whether micro-entity accounts can be used depends on whether the company qualifies for the micro-entity framework at the relevant time. Not every small company qualifies, and FRS 105 applies only to entities that meet the micro-entity criteria, so eligibility is confirmed as part of the work.
