The deadline itself is not the same for every company; it depends on factors such as the company’s accounting reference period, whether it is newly incorporated, whether it has changed its accounting reference date, and whether any prior filings or extensions apply. That is why it is worth checking the specific position for your company rather than assuming a fixed date applies. Once accounts are overdue, the filing obligation does not disappear. The accounts still need to be prepared and delivered, and Companies House can impose a late-filing penalty where accounts are submitted after the applicable deadline. Any penalty is a separate matter from the requirement to file, so paying a penalty does not remove the need to bring the accounts up to date. If several accounting periods are outstanding, each period generally has to be addressed in its own right, which usually means preparing more than one set of accounts. Leaving matters unresolved for longer can allow the consequences to build, so it is generally better to establish exactly what is outstanding and begin working through it. Accounts are overdue once the applicable statutory deadline has passed and the required accounts have not been delivered to Companies House. The deadline varies depending on the company's accounting reference period and its individual circumstances, so the first step is usually to check the company's Companies House record and confirm which accounting periods remain outstanding. An overdue filing simply means the deadline has passed and the accounts are still due — it does not automatically mean anything has happened to the company.

Yes. The filing obligation continues after the deadline has passed, and the accounts still need to be prepared and delivered to Companies House where required. Submitting them late does not cancel any late-filing penalty that may apply, because the penalty and the filing requirement are separate matters. Our role is to help you prepare accurate accounts for each outstanding period and support you through the filing process.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if it did not deliver the required accounts by the applicable deadline, those accounts can be overdue even though no trading took place. Dormancy does not by itself remove the requirement to file, although the form of accounts a dormant company needs to prepare may differ from a trading company's. We can look at your company's position and confirm what is required.

They are two distinct matters. Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the amount and application of any penalty depend on the circumstances and the relevant rules. Paying a penalty does not remove the obligation to file the outstanding accounts, and filing the accounts does not automatically cancel a penalty that has already been applied. Where a company believes a penalty should not apply, eligibility for an appeal depends on the circumstances and the applicable Companies House rules.

Where several periods are outstanding, each one generally has to be prepared and filed separately, so the work involved is greater than for a single set of accounts. In many cases the earlier period has to be completed first because later accounts build on it. The information needed will depend on the periods being prepared and the records your company holds, but it often includes bookkeeping records, bank statements, invoices, expense records, previous accounts and company details. We can map out what is outstanding and work through the periods in sequence.

Some companies may qualify for the micro-entity reporting framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. However, not every company with overdue accounts qualifies as a micro-entity, and eligibility depends on the company's legal structure, size, accounting period and circumstances. The framework that applied to the period being prepared is what matters, so it is worth confirming this before preparation begins rather than assuming a small company will qualify.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy HMRC obligations, and a company may have overdue Corporation Tax filings as well as overdue accounts. Where that is the case, it is sensible to address both areas, and we can review your outstanding filing requirements so nothing is overlooked.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action, but an overdue filing does not automatically mean a company will be dissolved. If your company has received a strike-off notice, or has already been dissolved, the situation may require separate action such as restoration or legal advice rather than being treated as an ordinary overdue accounts filing.
