It is a statement about the filing position rather than about the company's general standing — the company remains on the register, but the accounts are shown as outstanding until they are prepared and filed. The exact deadline depends on the company's accounting reference period and individual circumstances, so it is worth checking the company's Companies House record to see precisely which periods are affected.

In most cases, yes. A company that has not traded may still have an annual accounts filing obligation, and a dormant company can have overdue accounts if the required accounts were not delivered by the applicable deadline. Dormancy and overdue filing are separate matters, and treating a company as exempt simply because there was no trading activity is a common but risky assumption. If you are unsure whether your company is genuinely dormant for filing purposes, we can review the position and confirm what needs to be submitted.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the level of that penalty generally reflects how late the accounts are rather than being the same in every case. A penalty does not replace the filing requirement, and paying one does not remove the need to prepare and deliver the accounts. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and no accountant can promise that a penalty will be reduced, cancelled or refunded.

Each outstanding accounting period normally needs to be addressed in its own right, which means several sets of accounts may need to be prepared and filed rather than one combined submission. Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, that framework may be available for accounts that are filed late as well as on time. Eligibility is not automatic and depends on factors such as the company's size, turnover, balance sheet total, number of employees and accounting period, so the position needs to be confirmed before preparation begins. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework, and we will confirm whether it is appropriate for your company.

No. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Filing overdue accounts with Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and a company can find itself with both matters to resolve at the same time. Where that is the case, we can help you understand the separate steps involved and how they fit together, subject to the relevant requirements.

A confirmation statement is a separate filing from annual accounts, and filing overdue accounts does not replace it. A company may still need to submit its confirmation statement, keep its registered office, director and shareholder details up to date, and check that no other filings are outstanding. Once the accounts position is clear, it is usually worth reviewing the wider Companies House record so that everything required is brought up to date together.

Where a company has received a warning or a strike-off notice, the matter may go beyond a routine overdue accounts filing and can call for separate action or legal advice, depending on the stage the process has reached. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off, but this does not happen automatically in every case.
