What Makes Company Accounts Overdue — and Why It Matters

Company accounts become overdue when the statutory filing deadline for a particular accounting period passes and the required accounts have not been delivered to Companies House. The date that applies is not the same for every company: it depends on factors such as the company’s accounting reference period, whether it is newly incorporated or changing its year end, and its own filing history. Once that deadline has passed, the accounts are treated as outstanding, and the obligation to prepare and deliver them does not disappear. Directors in Lincs who find themselves in this position should address it promptly, because the longer a set of accounts stays outstanding, the more the position can develop — Companies House may impose a late-filing penalty where accounts are delivered after the applicable deadline, and persistent failure to meet filing obligations can increase the risk of further action being taken against the company. Yes. An overdue filing is not cancelled by the passage of time. The accounts for each outstanding accounting period generally still need to be prepared and delivered to Companies House where required. Depending on the circumstances, there may also be a late-filing penalty to deal with, but paying a penalty and filing the accounts are separate matters — dealing with one does not remove the requirement to deal with the other.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if it did not deliver the required accounts by the applicable deadline, those accounts are overdue. Dormant status does not by itself mean that accounts are exempt from filing, although the basis on which the accounts are prepared may differ from a trading company's.
