I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Accounts in Southport?

A company may be considered dormant for Companies House purposes if it has not had significant accounting transactions during the relevant period. This can include companies that have not yet started trading, have stopped trading, are holding companies, or are being kept for future use. Dormancy for Companies House is not the same as being dormant for Corporation Tax with HMRC, so it is important to review the company’s individual circumstances. Even if no trading occurs, a dormant company may still be required to file annual accounts and keep its confirmation statement up to date. We can review your situation and advise on whether dormant accounts are appropriate and what filing obligations still apply.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Dormant company accounts are the annual accounts prepared for a limited company that has not had significant accounting transactions during the accounting period. They are filed with Companies House and must meet the applicable reporting requirements, even though the company may not be actively trading. A dormant company is not exempt from filing just because it has no sales or activity.

Yes, in most cases. A company that is dormant for Companies House purposes is usually still required to file annual accounts every year, unless a specific exemption applies. Filing dormant accounts is a separate requirement from submitting a confirmation statement, and both may need to be completed to maintain the company's compliance record.

Some dormant companies may also qualify as micro-entities under the Companies Act, and may therefore be able to use the simplified micro-entity reporting framework. Whether this applies depends on the company's size, legal structure and accounting period. Being dormant does not automatically make a company a micro-entity, so it is best to confirm eligibility before choosing a reporting framework.

Dormant for Companies House relates to the company's accounting activity and whether significant transactions have occurred. Dormant for HMRC is a separate status for Corporation Tax purposes, which may require the company to notify HMRC and potentially stop filing Corporation Tax Returns. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes, and the definitions and requirements are not identical.

Yes. A confirmation statement is separate from annual accounts and must generally be submitted to Companies House at least once every 12 months. A dormant company still needs to keep its registered details up to date and file a confirmation statement when required, even if no trading activity has taken place.

Not necessarily. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that it does not need to file further Corporation Tax Returns, then a CT600 may not be required for those periods. However, this depends on the company's exact circumstances and HMRC's rules. If the company has not been formally treated as dormant by HMRC, a Corporation Tax Return may still be due.

Filing dormant company accounts late can result in late-filing penalties from Companies House, regardless of the company's dormant status. The penalty amount and whether a penalty applies depends on how late the accounts are filed and the company's individual compliance history. Paying a penalty does not remove the requirement to file the outstanding accounts. If you believe a penalty has been issued incorrectly, an appeal may be possible but only in certain circumstances.

To prepare dormant company accounts, we generally need the company details, including its registered name and number, the relevant accounting period and records of any transactions or events that may have occurred. Even a dormant company may have certain transactions, such as share capital activity or filing fees, that need to be reflected accurately. We will confirm exactly what we need from you before preparing the accounts to Companies House standards.
