Dormant company accounts are annual accounts prepared for a company that has no significant accounting transactions during the accounting period. They are filed with Companies House and must meet the applicable statutory requirements. Even if a company is dormant, it usually still needs to file these accounts unless a specific exemption applies.
Yes, in most cases. A dormant company generally still needs to deliver its annual accounts to Companies House, even if there is minimal activity. Failure to file on time can result in late-filing penalties and may affect the company's status. There are some exemptions depending on the company's type and circumstances, but you should not assume that dormancy automatically removes this obligation.
Some dormant companies may also qualify for the micro-entity reporting framework if they meet the micro-entity criteria, such as size thresholds and legal structure. Dormant status and micro-entity status are not the same thing. We can review your company's eligibility and prepare the accounts under the appropriate framework, where relevant.
Companies House and HMRC use different definitions. A company may be dormant for Companies House purposes because it has no significant accounting transactions, but HMRC may still expect Corporation Tax returns unless the company has been formally notified and HMRC has confirmed that it is dormant for Corporation Tax. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant. We can help you understand the distinction and the steps needed for each authority.
Yes. A confirmation statement is a separate filing with Companies House and must be submitted at least once every 12 months. Filing dormant company accounts does not replace the confirmation statement. You must keep your company information up to date and submit the confirmation statement when required, even if the company is dormant.
It depends on the company's Corporation Tax position. If a company is dormant for Corporation Tax purposes, and HMRC has been notified and confirmed that Corporation Tax Returns are no longer required, then you may not need to file further returns. However, this is not automatic. Each company's circumstances are different, and we can help you establish whether a CT600 return is needed.
Late filing of dormant company accounts can result in penalties from Companies House, even if the company is dormant. The penalty amount varies depending on how late the accounts are filed. Paying a penalty does not remove the requirement to submit the outstanding accounts. If you believe a penalty was issued incorrectly, you may be able to appeal, depending on the circumstances, but we cannot guarantee the outcome.
To prepare dormant company accounts, we generally need details of the company's registered office, directors, shareholders and any share capital, along with confirmation that there have been no significant accounting transactions during the period. If the company had prior transactions, we may need the previous accounts or an opening balance sheet. Every company is different, so we will confirm exactly what we need after reviewing your records.
