When Can a Company Use Dormant Company Accounts?

A company may be able to file dormant company accounts if it has had no significant accounting transactions during the accounting period. Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House to satisfy the company's statutory filing requirement. Even if no significant accounting transactions have occurred, the accounts must still be prepared in accordance with the applicable rules, and certain statements may need to be included. Dormant accounts are not a way to ignore filing duties; they are a specific type of filing that reflects the company's dormant status.

In most cases, yes. A dormant company generally still has to file annual accounts with Companies House unless a specific exemption applies. Simply being dormant does not remove the filing requirement. The deadline and the type of accounts required will depend on the company's circumstances, but you should never assume that dormancy means accounts are not needed. Some dormant companies may also qualify as micro-entities under the Companies Act, allowing them to use the micro-entity reporting framework. However, dormancy and micro-entity status are not the same thing, and eligibility is not automatic. The company must satisfy the relevant size conditions and meet the applicable legal requirements. Dormant for Companies House refers to the absence of significant accounting transactions and is used to determine how a company files its annual accounts. Dormant for Corporation Tax purposes is a separate HMRC concept based on whether the company has any income, profits, or Corporation Tax liability. A company may be dormant for Companies House but still incur Corporation Tax obligations in certain circumstances. The two definitions are not interchangeable, and HMRC's requirements must be considered separately from Companies House filing duties.

A confirmation statement is separate from dormant company accounts. In most cases, a dormant company must still file a confirmation statement with Companies House every 12 months to keep its registered details up to date. Filing dormant accounts does not replace the confirmation statement requirement. If a confirmation statement is due, it must be submitted even if the company has no trading activity and no accounts information has changed.

A company that is dormant for Companies House purposes is not automatically exempt from Corporation Tax Returns. Whether a Corporation Tax Return such as a CT600 is required depends on HMRC's own dormancy rules and the company's specific circumstances. If HMRC still expects a return, it must be submitted even if there is no tax to pay. Where a company is genuinely dormant for Corporation Tax purposes, HMRC may stop requiring returns after appropriate notification, but this is not automatic. If dormant company accounts are filed late, Companies House may issue a late-filing penalty. Dormant status does not automatically protect a company from penalties if the accounts are overdue. The amount of the penalty depends on how late the accounts are filed. If your accounts are already overdue, it is important to file them as soon as possible. In some circumstances, a penalty appeal may be made if there was a reasonable excuse, but each case is judged on its own merits.
