Dormant company accounts are annual accounts prepared for a company that is dormant in accordance with the applicable Companies Act requirements. They summarise the company's financial position and typically include a balance sheet and any required notes. Dormant accounts must still meet the statutory format and filing requirements. The precise obligations depend on the company's status and whether it qualifies for any reporting exemptions.
Yes, in most cases a dormant company is still required to file annual accounts with Companies House, unless a specific exemption applies. Dormancy does not automatically remove the obligation to prepare and deliver accounts. A company that fails to file its required accounts on time may be subject to late-filing penalties. We can help you determine whether your company is required to file and, if so, prepare the necessary accounts.
Companies House and HMRC look at dormancy in different ways. For Companies House, a company may be dormant if it has no significant accounting transactions, but it still generally has to file annual accounts and confirmation statements. For HMRC, a company that is dormant for Corporation Tax may be able to stop filing Corporation Tax Returns once HMRC has been notified and has confirmed that no further returns are required. Filing dormant accounts with Companies House does not automatically tell HMRC that a company is dormant.
A confirmation statement is separate from dormant company accounts. A dormant company is generally still required to file a confirmation statement at least once every 12 months to keep Companies House records up to date. This includes details of directors, shareholders and registered office. Dormancy does not remove the requirement to submit a confirmation statement unless the company is eligible for a specific exemption, which is rare.
