When Can a Company File Dormant Company Accounts in Ludlow?

A company may be able to file dormant company accounts if it has not had significant accounting transactions during the accounting period. This might apply to companies that have not yet started trading, have stopped trading, or are being held for future use. However, dormancy depends on the specific circumstances and the relevant tests applied by Companies House. Being dormant for accounting purposes does not necessarily mean the company has no filing obligations. Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House accounting purposes. This generally means the company had no significant accounting transactions in the accounting period. Dormant accounts are still submitted to Companies House where filing is required, and they need to satisfy the Companies House rules for the company's size and type. A company does not automatically stop being a company just because it is dormant.

In most cases, yes. Unless a specific exemption applies, a dormant company generally has to file annual accounts with Companies House each year. Being dormant does not remove that obligation. The accounts may be simpler, but they must still meet Companies House requirements. If the company is also dormant for micro-entity purposes, a simplified form might be used, but eligibility depends on the circumstances.

Some dormant companies can use the micro-entity reporting framework if they also qualify as a micro-entity under the Companies Act. But dormancy and micro-entity status are different tests. Companies House dormancy concerns whether the company had significant accounting transactions for the accounts filing. HMRC dormancy for Corporation Tax is a separate question. A company may be dormant for Companies House, but still need to file Corporation Tax returns if HMRC requires them. Alternatively, a company that is dormant for Corporation Tax may be able to tell HMRC and stop filing returns, but HMRC must confirm this. The two rules are not the same.

Yes, except in limited situations. The confirmation statement is separate from dormant company accounts and is used to confirm that Companies House has up-to-date information about directors, shareholders and registered office. Most dormant companies still need to file one at least once a year. Filing dormant accounts does not replace the confirmation statement.

That depends on the company's HMRC position. Dormant company accounts filed with Companies House do not automatically go to HMRC or remove any Corporation Tax return duty. If HMRC has a CT600 obligation, it will need to be met. If the company is dormant for Corporation Tax and HMRC has agreed that a return is no longer due, the company may not need to file one. We recommend speaking to an accountant about your specific situation.
