Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They are filed with Companies House where required and must meet applicable filing requirements. Even though the company has no significant accounting transactions, the directors still have a legal responsibility to prepare and file accounts unless a specific exemption applies. Dormant accounts are not simply 'no accounts'.
Yes, in most cases. A company that is dormant for Companies House purposes must still file the required annual accounts unless a specific exemption applies. Dormant status does not remove the statutory filing obligation. The accounts may be simpler than those of an active company, but they must still be prepared and delivered to Companies House by the applicable deadline.
Some dormant companies may also qualify as micro-entities and may be able to use the micro-entity reporting framework, which is more streamlined. However, not every dormant company automatically qualifies as a micro-entity. Eligibility depends on factors such as the company's size, legal structure and accounting period. We can help you determine which reporting framework is appropriate for your dormant company.
Dormancy for Companies House purposes relates to whether the company has had significant accounting transactions, while dormancy for HMRC Corporation Tax purposes depends on the company's Corporation Tax position. These are separate tests. Filing dormant accounts with Companies House does not automatically notify HMRC that the company is dormant. HMRC may need to be notified separately, and a company may still have Corporation Tax obligations even if it is dormant for Companies House.
A confirmation statement is separate from dormant company accounts. Filing dormant accounts does not replace the confirmation statement. A dormant company generally still needs to submit a confirmation statement to Companies House each year and keep its registered information up to date. The confirmation statement confirms that the company's details on the register are correct, and it is a separate statutory filing.
It depends on the company's Corporation Tax position. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that it does not need to file further Corporation Tax Returns, then it may not need to submit a CT600 for periods covered by that confirmation. However, filing dormant accounts with Companies House does not automatically stop Corporation Tax obligations. The company may need to notify HMRC separately, and each company's circumstances are different.
If a dormant company fails to file its required accounts by the applicable Companies House deadline, it may be subject to late-filing penalties. Dormant status does not automatically protect a company from these penalties. The amount of any penalty and whether an appeal is possible depend on the circumstances and Companies House rules.
