We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When can a company file dormant company accounts in Ilminster Somerset?

A company can normally prepare dormant company accounts when it has no significant accounting transactions during the accounting period. However, dormancy for Companies House purposes depends on the company’s own circumstances and the applicable accounting rules. A company may be considered dormant if it has not started trading, has stopped trading or has been retained for future use, but simply having no sales or no current activity does not automatically make it dormant. Even where dormant accounts are appropriate, the company will normally still need to file those accounts with Companies House and may also need to file a separate confirmation statement. Dormancy for HMRC and Corporation Tax is considered separately, and a company’s obligations there will depend on its Corporation Tax position and whether HMRC has been notified that the company is dormant for tax purposes. If you are unsure whether your Ilminster Somerset company qualifies, we can review your records and explain what applies.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are a simplified set of accounts prepared when a company is dormant for accounting purposes. Under Companies House rules, a company can be dormant if it has had no significant transactions during the relevant accounting period. Dormant accounts still need to satisfy the applicable legal framework and are filed with Companies House. Preparing them properly helps keep your company's filing record up to date, but whether your company qualifies depends on its individual circumstances.

Yes, generally a company that remains on the register must file its annual accounts with Companies House unless a specific exemption applies. Dormant company accounts are the normal way of doing this. Being dormant does not remove the filing obligation altogether; it usually means the accounts are simpler, but they still need to be prepared and submitted by the company's filing deadline. We can help you check whether your company falls within a specific exemption.

Some dormant companies may also qualify as micro-entities and may therefore use the applicable micro-entity reporting framework. Dormancy and micro-entity status are not the same thing, and not every dormant company is a micro-entity. Where a company qualifies for both frameworks, the accounts may be prepared under the relevant micro-entity provisions, but the company still needs to file them. We can check eligibility based on your company's size and circumstances.

Companies House and HMRC use separate tests for dormancy. A company can be dormant for Companies House purposes because it has no significant accounting transactions, while HMRC looks at the Corporation Tax position and whether the company has been formally notified that it is dormant for Corporation Tax. Filing dormant company accounts with Companies House does not automatically tell HMRC about the company's tax position, and vice versa. Your obligations may therefore differ depending on which authority you are dealing with.

Yes, in most cases. A confirmation statement is a separate Companies House filing that keeps your company's registered details up to date. Filing dormant company accounts does not replace the confirmation statement, and even a dormant company normally needs to submit one every year. We can help you manage both obligations so nothing important is missed.

If a company misses its Companies House filing deadline for dormant company accounts, late-filing penalties may apply. The amount varies depending on how late the accounts are submitted and on the company's specific situation. Dormant status does not automatically protect a company from these penalties, and paying a penalty does not remove the need to file the overdue accounts. If you have concerns about a late filing, we can discuss your options, including whether an appeal might be appropriate based on the facts.

Yes. If your Ilminster Somerset company has outstanding Companies House filings, we can help work out what is overdue, prepare the dormant company accounts and any related documents, and guide you through the process of submitting them. Depending on how late the accounts are, Companies House may have applied penalties, but filing the missing accounts is generally an important first step. We will review your circumstances and tell you what needs to be done.
