When Can You File Dormant Company Accounts in Gainsborough?

A company may be able to file dormant company accounts with Companies House if it is dormant for accounting purposes — generally meaning it has had no significant accounting transactions during the accounting period. Importantly, a company does not become dormant simply because it has no sales, no employees or no recent trading activity; the relevant accounting rules and the company’s particular circumstances dictate whether dormancy applies. Dormant company accounts are the annual accounts a limited company prepares when it has no significant accounting transactions during the accounting period. They are sent to Companies House as part of the company’s statutory filing obligations. The accounts must meet the applicable Companies House requirements, even though the company is not trading. A dormant company cannot simply ignore its accounts filing duty.

Yes, generally. A dormant company must still file its annual accounts with Companies House unless a specific exemption applies. The accounts may be simpler than those of an active company, but the requirement to file remains. If your Gainsborough company has not traded or stopped trading, we can prepare the correct dormant accounts for you.

A company can be dormant for Companies House purposes if it has had no significant accounting transactions. However, HMRC has its own rules for Corporation Tax dormancy. It is quite possible for a company to satisfy the Companies House test but still have Corporation Tax obligations for HMRC. Being dormant for one purpose does not automatically mean dormant for the other.

Yes. Filing dormant company accounts does not replace the confirmation statement. A confirmation statement must still be delivered to Companies House at least once every 12 months (subject to the usual rules), and it confirms the company’s registered office, directors, shareholders and other register information. Keeping this updated is a separate obligation.

Some dormant companies may be eligible to prepare micro-entity accounts under the micro-entity reporting framework, but not all dormant companies are automatically micro-entities. Eligibility depends on the company’s size, turnover, balance sheet total and number of employees. Where a dormant company qualifies, the accounts can be prepared in a simplified format, but we always check the criteria before choosing the applicable framework.

If HMRC has agreed that the company is dormant for Corporation Tax purposes, it may not need to file further Corporation Tax Returns. However, this is not automatic — the company must notify HMRC and stop filing only when HMRC confirms it is no longer required. A company may be dormant for Companies House purposes but still need to contact HMRC separately. If the company has received income such as bank interest, it may not be dormant for Corporation Tax purposes.

If a company misses the Companies House filing deadline, dormant accounts filed late can still lead to a late-filing penalty. Dormant status does not automatically protect a company from penalties, and any penalty must still be paid even if the accounts are later filed. If you believe the company has a reasonable excuse, you may be able to appeal, depending on the circumstances.

To prepare dormant company accounts, we generally need details of the company’s recent activity, its accounting period, and confirmation that it meets the dormancy conditions. We also need the company’s registration details and, where relevant, any prior filing history. If the company has bank interest or other income, it may not qualify as dormant, so it is important to disclose all transactions.
