I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Company Accounts in Gaerwen?

For companies in Gaerwen, dormancy is not simply a matter of having no current trade. A company may be eligible to prepare dormant company accounts if it has experienced no significant accounting transactions during the relevant period. That could apply to a company that has not yet started trading, has stopped trading, or is a holding company with no activity. It is important to distinguish this Companies House position from HMRC’s dormancy rules for Corporation Tax, because a company can be dormant for one purpose and not the other. Even where dormant company accounts are filed, the company’s annual accounts and confirmation statement obligations may still apply, and HMRC should be notified separately if Corporation Tax dormancy is being claimed.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are statutory accounts prepared for a company that is dormant for Companies House reporting purposes. They do not allow a company to ignore its filing obligations. Instead, they show that the company had no significant accounting transactions during the period, and they must be prepared in line with the applicable Companies Act requirements. The filing position will also depend on the company's size and eligibility for special frameworks.

Yes, in most cases. Being dormant does not automatically remove a company's obligation to file annual accounts with Companies House. The directors must prepare and file the required accounts by the company's statutory deadline unless a specific exemption applies. A dormant company also remains responsible for keeping Companies House records up to date and submitting a confirmation statement when one is due.

Some dormant companies can, if they also meet the micro-entity criteria. Dormancy alone does not make a company a micro-entity. Eligibility is assessed by reference to the company's turnover, balance sheet total, number of employees and other qualifying conditions. If the company qualifies, its dormant accounts may be prepared under the micro-entity framework, and the appropriate financial reporting standard would then apply. We can help you determine whether this is available for your company.

Being dormant for Companies House purposes means the company has no significant accounting transactions for the relevant period, which affects the format of the annual accounts it files. Being dormant for Corporation Tax purposes is a separate matter, assessed by HMRC, and can affect whether the company needs to send Corporation Tax Returns. The two are not automatically linked, so a company can be dormant for one purpose but not the other. HMRC should be notified separately if the company believes it is dormant for Corporation Tax purposes.

A confirmation statement is a separate annual requirement. It must be submitted to Companies House to confirm that the company's registered details, such as directors and shareholders, are up to date. Filing dormant company accounts does not remove the need for a confirmation statement. Many dormant companies still have to file both, though the confirmation statement has its own deadline and fee.

It depends. If HMRC has agreed that the company is dormant for Corporation Tax purposes, it may not need to file further Corporation Tax Returns unless circumstances change. The company must first notify HMRC and provide relevant information. If HMRC has not confirmed this, the company may still be required to submit returns despite being dormant for Companies House purposes. Each company's tax position needs to be checked separately.

Companies House applies late-filing penalties where accounts arrive after the statutory deadline, and this can happen even for dormant companies. A company that is dormant is not automatically protected from penalties. If a penalty is issued, paying it does not remove the need to file the overdue accounts. You may be able to appeal in certain situations, but this depends on the circumstances and Companies House's rules. We can help prepare the outstanding accounts and review the options available.
