We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Company Accounts in Fleetwood?

A company can be considered dormant for Companies House purposes when it has had no ‘significant accounting transactions’ during the accounting period. Significant transactions generally include any income or expenditure that does not relate to the exceptional items allowed for dormant companies, such as fees paid to Companies House, penalties, or payment for shares. Whether a company qualifies as dormant depends on its specific circumstances and the applicable accounting rules. Crucially, dormancy does not automatically remove the obligation to file annual accounts or submit a confirmation statement. It is also important to distinguish between dormancy for Companies House and dormancy for HMRC Corporation Tax purposes. A company may be dormant for one but not the other, and this affects the filing obligations that apply.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House purposes during the relevant accounting period. These accounts are generally simpler than full accounts, but they still need to meet Companies House requirements. In many cases, a dormant company can submit accounts on shorter or simplified forms, but the company's circumstances and eligibility determine what is required.

Yes, in most circumstances. A company that is dormant for Companies House purposes is normally still required to file annual accounts each year, unless a specific exemption applies. The accounts must be filed with Companies House by the applicable deadline. Being dormant does not mean you can ignore your filing obligations. If you are unsure whether an exemption applies, it is wise to take professional advice based on your company's specific situation.

Companies House and HMRC have different definitions and rules for dormancy. For Companies House, a company is dormant if it has no significant accounting transactions in the period. For Corporation Tax purposes, HMRC treats a company as dormant if it is not active, typically meaning it has not started trading and has no income or other Tax activity. A company may be dormant for Companies House but still need to file Corporation Tax Returns with HMRC until HMRC has confirmed that returns are no longer required. Filing dormant accounts with Companies House does not automatically notify HMRC.

A confirmation statement is a separate filing from annual accounts. A dormant company is generally still required to submit a confirmation statement to Companies House each year to confirm that the information on the register is accurate. Filing dormant company accounts does not replace the confirmation statement, and both obligations may need to be met.

Some dormant companies may also qualify as micro-entities under the applicable eligibility criteria. If so, they may be able to use the micro-entity reporting framework, which provides a simplified way of preparing accounts. However, not all dormant companies are micro-entities, and eligibility depends on your company's size, structure and accounting period. Micro-entity status is separate from dormancy, so each must be considered carefully.

To prepare dormant company accounts, we generally need your company's details, such as the registered number, registered office address and any share capital including subscribers' shares. We also need to confirm that there were no significant accounting transactions during the period. In some cases, you may have paid fees to Companies House or penalties, which are permitted. Our accountants will guide you on what is required based on your specific situation.

Filing dormant company accounts is a statutory requirement, and Companies House can impose late-filing penalties if the accounts are not filed by the applicable deadline. The amount of any penalty depends on how late the accounts are and on the specific circumstances, but dormancy does not automatically protect a company from penalties. If a penalty has already been issued, we can help you understand your options, though the outcome of any appeal depends on the circumstances and Companies House rules.
