Dormant company accounts are statutory accounts prepared for a company that is considered dormant for accounting purposes. They must meet the applicable Companies House requirements and are filed alongside the company's annual return or confirmation statement. Even though the company may have had no significant transactions, the accounts still confirm that the company satisfies the statutory definition of dormancy and typically reflect the company's share capital position.
Yes, in most cases. A company that is dormant for Companies House purposes is not automatically exempt from filing annual accounts. Unless a specific exemption applies, dormant company accounts must still be prepared and filed with Companies House each year. A dormant company also generally needs to keep its registered details up to date and submit a confirmation statement when required. Our team can review your position and confirm exactly which filings apply to your company.
Some dormant companies may qualify for the micro-entity reporting framework if they meet the relevant size and eligibility conditions. Micro-entity accounts are a simplified form of accounts available to qualifying companies. Dormancy and micro-entity status are separate concepts, so it is important to check the company's legal structure, turnover, balance sheet total and number of employees before deciding which reporting framework applies. We can advise on whether a dormant company is eligible to use the micro-entity regime or whether different accounts are needed.
Companies House and HMRC treat dormancy differently at times. For Companies House, a company can be dormant if it has had no significant accounting transactions. For Corporation Tax purposes, HMRC has its own rules and a company may need to notify HMRC if it wishes to be treated as dormant. Being dormant for Companies House does not automatically mean a company is dormant for Corporation Tax, and filing dormant accounts with Companies House does not inform HMRC. We can explain the difference and help you manage both sets of obligations correctly.
Generally, yes. A confirmation statement is a separate filing required by Companies House, and it is not replaced by filing dormant company accounts. Even if your company is dormant, you will usually need to file a confirmation statement every 12 months to confirm that the company's registered details, such as its directors, registered office and shareholders, are correct. We can prepare and file the confirmation statement on your behalf alongside your dormant accounts.
To prepare dormant company accounts, we normally need the company's details, including its registered number, registered office address, statement of share capital and any recent changes. Because a truly dormant company has no significant accounting transactions, there is usually little financial information required. However, we still need to confirm the company's status and any transactions that may have occurred, such as the issue of shares, so that the accounts meet Companies House requirements.
If a dormant company fails to file its annual accounts with Companies House by the statutory deadline, it may receive a late-filing penalty. Dormant status does not automatically protect a company from these consequences, and the amount of the penalty can vary depending on how late the accounts are filed. Paying a penalty does not remove the obligation to file the outstanding accounts.
