It is also important to remember that being dormant for Companies House purposes is separate from being dormant for HMRC Corporation Tax purposes. Dormant company accounts are the statutory accounts prepared for a company that is dormant for accounting purposes under the applicable Companies House rules. They are typically simplified accounts that show no significant transactions, but they must still meet the required format. Where the accounts need to be filed, they are delivered to Companies House as part of the company’s annual reporting obligations.

Generally, yes. A company that is dormant for Companies House purposes is not automatically exempt from filing annual accounts. Most dormant companies still need to deliver the required accounts to Companies House each year, unless a specific exemption applies to their particular circumstances. An accountant can confirm whether an exemption is available.

Some dormant companies may qualify as micro-entities and may therefore be able to use the applicable micro-entity reporting framework.
