When Can a Company File Dormant Accounts?

A company can prepare and file dormant accounts when it has been dormant for the relevant accounting period under the Companies House rules. For Companies House purposes, dormancy generally means the company has had no significant accounting transactions during the period. However, whether a company is actually ‘dormant’ depends on its circumstances; a company is not automatically dormant simply because it has no sales or is currently inactive. The relevant test considers the company’s transactions and the applicable accounting and filing requirements. It is also important to remember that dormancy does not remove the need to file annual accounts, and a confirmation statement may still be required. Dormant company accounts are the annual accounts that an eligible dormant limited company must prepare and file with Companies House. They are based on the company’s accounts for a period in which it has had no significant accounting transactions. Even though the company has little or no activity, the accounts still need to meet the applicable Companies House requirements. If your company qualifies, the accounts may be simpler than full statutory accounts, but they must still be filed on time.

Yes, generally. A company that is dormant for accounting purposes still normally needs to file dormant company accounts with Companies House for each accounting period, unless a specific exemption applies. Dormancy does not remove the filing requirement. If the company also qualifies as a micro-entity, it may be able to prepare accounts under the micro-entity framework, but the filing obligation remains.

Some dormant companies may also qualify as micro-entities under the Companies Act. When a company qualifies as a micro-entity, it can prepare its accounts using the micro-entity reporting framework. However, not every dormant company is automatically a micro-entity. Eligibility depends on factors such as the company’s size and accounting period.
