We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company in Birmingham File Dormant Company Accounts?

A company may be able to prepare dormant company accounts when it is dormant for Companies House purposes – typically where it has no significant accounting transactions during the relevant period. This situation often applies to companies that have not yet started trading, have stopped trading, are being retained for future use, or are holding companies with no relevant activity. However, a company is not automatically dormant simply because it has no sales or is not currently trading; dormancy depends on the applicable rules and the company’s specific circumstances. Even where a company is dormant, it generally still must file the required annual accounts with Companies House unless a specific exemption applies, and it must also keep its confirmation statement up to date. It is also important to distinguish Companies House dormancy from HMRC Corporation Tax dormancy, as the two are assessed separately. We can review your company’s situation and help determine whether dormant company accounts are the appropriate route.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House accounting purposes. A company is typically dormant if it has no significant accounting transactions in the financial year. The accounts must be prepared and filed in accordance with the Companies Act, even for a company that has no trading activity. Dormant company accounts are not simply a box-ticking exercise; they must meet the statutory requirements while reflecting the company's dormant position.

Yes. A dormant company is generally required to prepare and file annual accounts with Companies House each financial year, unless a specific exemption applies. The fact that a company is dormant does not remove its annual filing obligation. The accounts must be delivered before the statutory deadline to avoid late-filing consequences. If you are unsure whether your company qualifies as dormant or whether an exemption might apply, it is best to seek professional advice before the deadline.

Dormant for Companies House relates to the company's obligation to file statutory accounts. Dormant for Corporation Tax is a separate status considered by HMRC. It is possible for a company to be dormant for Companies House but not for Corporation Tax, or the other way around. Filing dormant company accounts with Companies House does not automatically notify HMRC. If a company is dormant for Corporation Tax purposes, it may need to notify HMRC separately, and subject to HMRC's rules, it may not need to file future Corporation Tax Returns. Both positions should be checked carefully.

Yes. A confirmation statement is separate from the annual accounts. It is filed with Companies House to confirm that information on the register - such as directors, registered office and shareholders - is accurate and up to date. Most dormant companies will still need to submit a confirmation statement at least once every 12 months. Complying with the annual accounts requirement does not replace the confirmation statement obligation.

Some dormant companies may be eligible to use the micro-entity reporting framework, but eligibility is not automatic. The company must meet the qualifying conditions, such as the relevant size thresholds for micro-entities. Dormancy and micro-entity status are different concepts. A qualified accountant can assess your company's circumstances and confirm whether micro-entity accounts may be prepared, while ensuring the accounts comply with the applicable financial reporting framework.

Typically, you will need details of the company, including its name, registration number, registered office, directors and shareholders, as well as the relevant accounting period. For a dormant company, there are generally no trading transactions to report, but the accounts must still contain the required statutory statements and disclosures under the applicable framework. If the company has received any permitted payments, such as for shares, those must be disclosed as necessary. Providing your most recent confirmation statement and any earlier accounts can help your accountant prepare the documents accurately.

Yes. If your dormant company has missed its accounts filing deadline, we can help you bring the filing up to date. We will review which accounts are due and prepare the necessary dormant company accounts for submission to Companies House. We can also advise on confirmation statement filings and any Corporation Tax matters where relevant. While we cannot guarantee that penalties will be waived, we can act quickly to submit the outstanding accounts and help prevent further compliance problems.
