Dormant company accounts are the annual accounts prepared for a company that is dormant for accounting purposes. They show that the company has had no significant accounting transactions during the financial year and must meet the applicable Companies House requirements. Dormant accounts are not simply a blank document – they still need to be prepared correctly and filed on time.
In most cases, yes. A dormant company is generally still required to prepare and file annual accounts with Companies House unless a specific exemption applies. Being dormant does not remove the filing obligation. Even if the company has not traded, the directors must ensure the required accounts are filed before the statutory deadline.
Some dormant companies may qualify to use the micro-entity reporting framework, but this depends on the company meeting the size criteria and other conditions that apply for micro-entities. Dormancy and micro-entity status are not the same thing. Not every dormant company automatically qualifies, so it is important to review the company’s eligibility before deciding which form of accounts to file.
Companies House and HMRC apply different tests for dormancy. A company may be dormant for Companies House purposes because it has no significant accounting transactions, but HMRC may still consider it active for Corporation Tax if it has not been notified or does not meet HMRCu2019s dormant criteria. For Corporation Tax, you generally need to tell HMRC about the company’s dormant status, and HMRC may confirm that Corporation Tax Returns are no longer required. Filing dormant accounts with Companies House does not automatically update HMRC.
Yes, a confirmation statement is separate from dormant company accounts. A dormant company must still file a confirmation statement with Companies House at least once every 12 months unless a specific exemption applies. It is used to keep the company’s registered details up to date, and failing to submit it can lead to late filing consequences. Filings with HMRC do not replace this obligation.
It depends on the company’s Corporation Tax position. If a company is dormant for Corporation Tax purposes and has advised HMRC, it may be excused from filing Corporation Tax Returns once HMRC has confirmed no return is required. However, this is not automatic. If the company has any taxable activity, remains within the Corporation Tax regime, or has not been formally notified as dormant, a CT600 Corporation Tax Return may still be required. Filing dormant company accounts late can still result in a late-filing penalty from Companies House. The amount varies depending on how late the accounts are submitted, and dormancy does not automatically protect a company from penalties. Paying a penalty does not remove the need to file the outstanding accounts. If you have missed a filing deadline, it is sensible to take advice quickly and bring your filing up to date as soon as possible.
Yes. A company that has been incorporated but has not yet started trading may still be required to prepare and file dormant accounts, provided it meets the relevant dormancy conditions. Even if there have been no transactions, the first accounts and subsequent annual filing requirements apply from the company’s incorporation.
