We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Barton-upon-humber?

A company will usually be considered dormant for Companies House purposes if it has not entered into any significant accounting transactions during the accounting period. That can include companies that have not yet started trading, companies that have stopped trading, holding companies and companies being retained for future use. However, having no sales or no employees does not automatically make a company dormant; the applicable rules must be considered in each case. Dormant company accounts are still required in many situations, and preparing them does not remove the need to file a confirmation statement or to update your company records. You should also be aware that being dormant for Companies House is not the same as being dormant for HMRC’s Corporation Tax purposes. The two bodies apply different tests, so it is possible for a company to be dormant for one and not the other. If you are uncertain whether your company qualifies as dormant, we can help you review its position and confirm the correct filing route for a company based in Barton-upon-humber.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts filed with Companies House for a company that is dormant during the accounting period. They are usually simpler than full accounts because the company has no significant transactions to report. The exact format depends on the company's circumstances and any eligibility for micro-entity reporting or other exemptions. A dormant company must still meet its Companies House obligations, so the accounts must be prepared and filed correctly.

Yes, in most circumstances a dormant company is still required to file annual accounts with Companies House. The fact that a company is dormant does not automatically remove its obligation to file, although certain exemptions may apply depending on the company's size and activity. If the accounts are not filed by the statutory deadline, Companies House can issue penalties. Directors should treat dormant company accounts as a routine compliance requirement.

Dormant for Companies House relates to the company's accounting activity and is used to determine the type of annual accounts that may be filed. Dormant for Corporation Tax means HMRC has accepted that the company is not submitting Corporation Tax Returns because it has no taxable business activity. These are separate statuses, and satisfying one does not automatically satisfy the other. For example, a company that is dormant for Companies House may still be active for Corporation Tax if it has received income or has other chargeable activity. It is important to review both positions.

Yes, unless an exemption applies. A confirmation statement is separate from dormant company accounts and is sent to Companies House at least once a year, in addition to your annual accounts. It confirms who the directors and shareholders are, where the registered office is situated and other required company details. This must be kept up to date even when the company has no activity. Failing to file a confirmation statement can lead to the company being struck off the register.

Not always, but it is not safe to assume there is no Corporation Tax obligation. If your company is dormant for Corporation Tax purposes and already notified HMRC, you may not need to file CT600 returns as long as the company continues to meet HMRC's dormancy conditions. However, if the company has any untaxed income or chargeable activity, HMRC may expect returns. Filing dormant company accounts with Companies House does not automatically inform HMRC, so you need to notify HMRC separately if you believe the company is dormant for Corporation Tax.

A company can file micro-entity accounts only if it qualifies as a micro-entity under the size tests set out in company law. Some dormant companies will qualify, but not all. Dormancy is not itself a qualification for micro-entity reporting. If the company qualifies, its accounts can be prepared using the micro-entity framework, which may include the use of FRS 105 where appropriate. We can help you confirm whether your dormant company is eligible.

Companies House may issue a late-filing penalty if the required accounts are not filed before the deadline. The amount of the penalty depends on how late filing occurs, and dormancy does not protect a company from penalties. If you have missed a filing deadline, the company may be able to appeal to Companies House if there is a reasonable excuse, but you should still file the outstanding accounts as soon as possible. We can assist you in preparing and filing late dormant company accounts and help you through the process.
