Dormant company accounts are the annual accounts prepared for a limited company that is dormant for accounting purposes during the financial year. They are filed with Companies House – usually in a simplified format – to satisfy the company's statutory obligation to deliver accounts. Dormant accounts are not simply a blank form or a nil return. They must meet the relevant Companies House requirements based on the company's circumstances and eligibility, including any applicable micro-entity provisions.

Yes, in most cases. A dormant company generally still needs to file annual accounts with Companies House for each financial year, regardless of whether it is trading. Unless a specific exemption applies, the accounts must be delivered before the company's statutory deadline. Dormant status does not remove the company's annual filing obligation. Even when a company has no significant accounting transactions, the accounts must still be prepared in a dormant format and filed. Missing the deadline can result in late-filing penalties.

Many dormant companies will also qualify as micro-entities, but it is not automatic. To use the micro-entity reporting framework, the company must satisfy the eligibility criteria set out in company law, including the size conditions and any specific requirements around being dormant. If a dormant company qualifies as a micro-entity, it may be able to file accounts with reduced disclosures and a simpler balance sheet. However, not every dormant company is a micro-entity. Being dormant for Companies House purposes means the company has had no significant accounting transactions and may therefore be able to prepare dormant accounts. Being dormant for Corporation Tax is a separate HMRC status. Yes. A confirmation statement is separate from dormant company accounts. A dormant company is generally still required to deliver a confirmation statement to Companies House at least once every 12 months, confirming details such as the registered office, directors, shareholders and the company's intended future activities. Filing dormant accounts does not replace the confirmation statement. Both may be required, although they have different filing dates and purposes.

To prepare dormant company accounts, we will normally need the company's financial year end date, company number, registered office address, details of directors and shareholders, and confirmation that there have been no significant accounting transactions during the period. We may also ask to see the previous year's accounts or any relevant correspondence from Companies House or HMRC. You will usually need to review and approve the accounts before they are filed.

Yes. If a dormant company has missed one or more statutory filing deadlines, it is important to address the outstanding accounts as soon as possible. Companies House may issue late-filing penalties, and filing the missing accounts does not automatically remove a penalty, although it prevents the position from continuing.
