I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean — and Why Directors in Torquay Should Act

Company accounts become overdue once the statutory filing deadline for an accounting period has passed and the required accounts have not been delivered to Companies House. That deadline is not identical for every company: it depends on the company’s accounting reference period and its own circumstances, so the date that applies to one company may not apply to another. Once accounts are outstanding, the obligation to prepare and file them does not disappear, and that is true whether the company has been actively trading, has had a quiet period, or is dormant. The deadlines and any consequences that follow depend on the company’s situation, and Companies House is the body that records whether accounts have been delivered. In practice, many directors in Torquay only realise how far behind the filings have fallen when something else prompts a check — a lender, an accountant or a letter from Companies House. Addressing outstanding accounts promptly is usually the easier path, because the longer they remain unfiled the more the position may escalate. Companies House can apply a late-filing penalty where accounts are delivered after the applicable deadline, and persistent failure to meet filing obligations can increase the risk of further action. Bringing the records up to date also has a practical benefit: Companies House records are public, and incomplete filings can slow down finance applications, contract checks and, in some cases, a sale of the business. Filing the accounts alone does not necessarily resolve everything, as confirmation statements, Corporation Tax obligations with HMRC and other filings may need attention separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue when the applicable Companies House filing deadline for an accounting period has passed and the required statutory accounts have not yet been delivered. The deadline itself depends on the company's accounting reference date and its circumstances, which is why it is not the same for every company. Passing that date does not remove the filing obligation. In most cases the outstanding accounts still need to be prepared and delivered to Companies House where they are required, so the sensible step is to establish which periods remain unfiled and deal with them.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have an annual accounts filing obligation at Companies House, and if those accounts were not delivered by the applicable deadline, they can be overdue in exactly the same way as any other company's. Being dormant does not automatically exempt a company from filing, although the basis on which the accounts are prepared may differ depending on the company's circumstances.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. Whether a penalty applies, and how it is assessed, depends on the circumstances and the applicable Companies House rules — penalty levels are not the same in every case. The longer accounts remain outstanding, the more serious the consequences may become, and repeated failure to meet filing obligations can also increase the risk of further action by Companies House, including compulsory strike-off in some circumstances.

No. Paying a penalty does not cancel the requirement to deliver the outstanding accounts. The penalty and the filing obligation are separate matters: the accounts still need to be prepared and filed with Companies House where required, and the penalty may also need to be dealt with separately. Where you believe a penalty has been applied incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules, but the underlying filing obligation remains.

In many cases, yes — but each outstanding accounting period generally needs to be prepared and filed separately, and the records and information required for each period can differ. We can review the position, work through the periods in a logical order and assist with preparing and filing the accounts that remain due. The information needed typically includes bookkeeping records, bank statements, invoices, expense records, company details and any previously prepared accounts, although exactly what is required depends on the company and the period being prepared.

Where a company has received a warning or a strike-off notice, the position is more time-sensitive and the options available depend on the circumstances. Filing the outstanding accounts may still be possible, but it does not automatically stop or reverse strike-off action, and Companies House makes its own decisions on the matter. If a company has already been dissolved, restoring it to the register is a separate process that may require specialist legal advice rather than being treated as an ordinary overdue accounts filing.

Some companies may qualify to prepare accounts under the micro-entity framework, but not all do — being a small business does not automatically mean micro-entity accounts apply. Eligibility depends on the company's legal structure, accounting period, size and the reporting framework that applies to it. Where a company qualifies, the accounts may be prepared under the micro-entity framework, which is based on FRS 105. Otherwise a different form of statutory accounts, such as small-company accounts, would be required.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is filed with Companies House separately from the annual accounts. Delivering overdue accounts does not automatically satisfy any outstanding Corporation Tax obligations with HMRC, and it does not replace a confirmation statement. It is worth checking whether other filings are also due so that the company's compliance position is properly up to date.
