I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Limited companies are generally required to prepare annual accounts for each accounting reference period and deliver them to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on matters such as whether the company is filing its first set of accounts, the length and dates of the accounting reference period, and the company’s individual circumstances. When the deadline passes and the required accounts have not been delivered, those accounts become overdue. It is worth dealing with overdue accounts promptly. Companies House records show whether a company is up to date, and a filing that remains outstanding may lead to a late-filing penalty being imposed, depending on the circumstances and the length of the delay. Any penalty and the obligation to file the outstanding accounts are separate matters: paying a penalty does not remove the requirement to prepare and deliver the accounts themselves. Overdue accounts can also affect how the company is viewed by lenders, customers and counterparties, and if several accounting periods are outstanding, each period may need to be prepared and filed separately. Dormant companies are not automatically exempt either — dormancy and late filing are different issues, and a dormant company can still have overdue accounts if it failed to file on time. Where the company qualified for a particular reporting framework, such as the micro-entity framework under FRS 105, small-company accounts or another applicable form of statutory accounts, the overdue filings should normally be prepared on the same basis unless the company’s circumstances have changed. Corporation Tax is handled separately: statutory accounts go to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a further, distinct filing. Because each company’s position differs, it is sensible to review the outstanding periods, the company’s records and the relevant filing requirements before anything is submitted.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the filing deadline for a particular accounting reference period has passed and the required statutory accounts have not been delivered to Companies House. The deadline is not uniform across all companies — it depends on factors such as whether it is the company's first accounts and the dates of the accounting period in question. If you are unsure whether your accounts are actually overdue, we can review your company's filing history and accounting periods and confirm the position.

Yes, in most cases the obligation to prepare and deliver the accounts remains, even though the deadline has passed. Filing late does not cancel the requirement itself. Where accounts are outstanding, they should normally be prepared for each relevant accounting period and delivered to Companies House as soon as the figures have been reviewed and authorised by the director. We can assist with preparing the accounts and with the Companies House filing itself.

It can. Dormancy and late filing are separate matters, and dormant status does not automatically remove the requirement to file annual accounts with Companies House. A dormant company that did not deliver its accounts by the applicable deadline will still have overdue accounts. Depending on the circumstances, the accounts may be prepared on a dormant basis, but the filing obligation and any applicable late-filing penalty are not affected simply because the company was not trading.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty, and the longer the accounts remain outstanding the more serious the consequences can become. The penalty amount and whether one applies depend on the circumstances, including the length of the delay. It is also worth remembering that any penalty and the filing obligation are distinct: paying a penalty does not remove the need to file the outstanding accounts.

No. Paying a late-filing penalty does not discharge the requirement to prepare and deliver the outstanding accounts. The two matters run alongside each other — the accounts still need to be prepared, reviewed and filed, and any penalty is dealt with separately. If you believe a penalty was issued incorrectly, the circumstances would need to be reviewed against the applicable Companies House rules, as eligibility for an appeal or reduction depends on the individual case.

Where several periods are outstanding, each one may need to be prepared and filed separately, and filing one set of accounts does not automatically resolve the others. We usually start by mapping out exactly which periods are outstanding and in what order they should be addressed, then work through them methodically. The timescale depends on the state of your records and how many periods are involved.

It varies from company to company and depends on the accounting period being prepared. Typically we would ask for bookkeeping records or a trial balance, bank statements, sales and purchase invoices, expense records, details of any assets or liabilities, previous accounts and your company details. If your records are incomplete, we can discuss what is available and what can reasonably be reconstructed before the accounts are finalised. Nothing is submitted until you have reviewed and authorised it.

Possibly, but not automatically. Some companies with overdue accounts may qualify for the micro-entity reporting framework under FRS 105, while others may need small-company accounts or another applicable form of statutory accounts, depending on their legal structure, accounting period, size and eligibility. If the overdue period was originally prepared under a particular framework, that is usually the natural starting point, but eligibility should be confirmed before the accounts are finalised.

Yes. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable — and filing overdue accounts with Companies House does not automatically satisfy any outstanding Corporation Tax obligations. A confirmation statement is a further separate filing. If your company has overdue accounts and other outstanding compliance matters, we can help you identify what needs attention on each side.
