I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts become overdue when the applicable filing deadline for a set of statutory accounts has passed and those accounts have still not been delivered to Companies House. The deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s particular circumstances — so the starting point is always to establish which accounting periods remain outstanding and what was originally due for each of them. Directors in Tarporley who have missed a filing date often assume the position can simply be left alone, particularly where the company has been quiet, has not traded, or has no current income. That is not the case: a filing obligation can remain in place even when activity is low, and a dormant company can still have overdue accounts if the required accounts were not delivered on time. The sensible approach is to deal with the position promptly, because the longer accounts remain outstanding, the more the situation can develop — Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of further action. The exact consequences depend on the circumstances of the company and the periods concerned. Bringing the records up to date usually means preparing accounts in the correct reporting framework, having them reviewed and authorised by the director, and delivering them to Companies House where required. It is worth remembering that filing overdue accounts does not automatically resolve everything else a company may owe: confirmation statements, Corporation Tax Returns such as CT600 where applicable, and any other outstanding HMRC matters generally need to be addressed separately. Where a late-filing penalty has been incurred, the requirement to file and the penalty itself are treated as distinct matters. We can review your position, identify what is outstanding, and assist with preparing and filing the accounts that are due.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory filing deadline for a set of accounts has passed and those accounts have not yet been delivered to Companies House. It does not mean the company has stopped trading or that it has been removed from the register — it means a filing obligation remains outstanding. The deadline that applied depends on your company's accounting reference period and circumstances, so the first step is to confirm exactly which periods are still outstanding.

In our experience the reasons are rarely dramatic. Directors may have assumed that a quiet year or a dormant period meant nothing needed to be filed, bookkeeping may have fallen behind, or the company's records and bank information may have become scattered. Occasionally the deadline itself was simply missed. Whatever the cause, the position is the same: the accounts still need to be prepared and delivered where required.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of whether the company was active. Depending on the circumstances, a dormant company may be able to file a simpler set of accounts, but that needs to be confirmed against the company's actual position rather than assumed.

No. The penalty and the filing requirement are separate matters. Paying a Companies House late-filing penalty does not remove the obligation to prepare and deliver the outstanding accounts, and further penalties may apply if the accounts remain outstanding. Whether a penalty can be appealed depends on the circumstances and the applicable Companies House rules, and we can talk you through what that involves.

Usually the periods can be worked through in sequence, but each outstanding accounting period needs its own set of accounts prepared and filed. Filing one year does not automatically clear the others. We can map out what is outstanding for each period, agree an order of work, and confirm the information needed for each year rather than relying on a single set of figures.

Possibly, depending on the circumstances. Some companies do qualify for the micro-entity reporting framework under FRS 105, which is the financial reporting standard applicable to qualifying entities using that framework. However, not every small company qualifies, and eligibility must be considered alongside the company's legal structure, accounting period and size. If micro-entity accounts are not appropriate, another form of statutory accounts, such as small-company accounts, may apply instead.

No. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax filing obligations. If your company also has overdue HMRC filings, those are separate compliance matters and need to be addressed on their own terms, and we can review both positions where relevant.

A warning or strike-off notice is a serious step, and it should be reviewed quickly rather than left. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Whether filing the outstanding accounts will resolve matters depends on the stage the action has reached and the circumstances of the company. If a company has already been dissolved, the position may need to be dealt with through restoration or separate legal advice rather than as an ordinary overdue accounts filing.
