I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which depends on the company’s accounting reference period and its own circumstances rather than a single date that applies to everyone. Once that deadline passes and the required accounts have not been delivered, the accounts are treated as overdue. This is not limited to companies that have stopped trading: a dormant company can also have overdue accounts where its annual accounts were not filed on time, because dormancy and overdue filing are separate issues and dormant status does not by itself remove the filing obligation. Directors in Sutton Alresford who find themselves in this position are often unsure where to begin, particularly where more than one accounting period is outstanding. The practical first step is to establish exactly which periods remain unfiled, then prepare the statutory accounts for each period and deliver them to Companies House where required. Late-filing penalties may apply when accounts are delivered after the deadline, and those penalties are handled separately from the requirement to file. Professional Overdue Company Accounts Filing support can help bring the records and the filings back into order, and in most cases it is better to deal with outstanding accounts sooner rather than letting them run on.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline. That deadline depends on the company's accounting reference period and its own circumstances, so it is not identical for every company. When the deadline passes and the required accounts have not been delivered, the accounts become overdue. The obligation does not disappear at that point: the accounts still need to be prepared and delivered, and late-filing penalties may apply depending on the circumstances.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if its annual accounts were not delivered by the applicable deadline, those accounts may be overdue even though the company was not trading. Dormant status does not automatically remove the requirement to file annual accounts.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. That penalty sits alongside the filing requirement rather than replacing it, and how it is applied depends on the circumstances and the relevant Companies House rules. The longer accounts remain outstanding, the more serious the position may become, so it is generally better to address the filing once the position is clear.

Yes. Paying a penalty does not remove or cancel the requirement to file the outstanding accounts. The requirement to prepare and deliver the accounts and any applicable penalty are separate matters, so the accounts still need to be finalised and delivered to Companies House even if a penalty has already been issued or settled.

Where several periods are unfiled, each accounting period generally needs to be addressed separately, with its own set of accounts prepared and delivered as required. Filing one period does not automatically resolve the others. We can review the filing history, confirm which periods remain outstanding and work through them in order, subject to the records and information available.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That does not mean every company with overdue accounts will be dissolved. If a strike-off notice has already been issued, or the company has been dissolved, the situation may need a different approach, such as restoration or separate legal advice, rather than being treated as an ordinary overdue accounts filing.

Some companies may qualify for the micro-entity reporting framework, and where that is the case, the overdue accounts may potentially be prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Not every small company qualifies as a micro-entity, however. Eligibility depends on the company's legal structure, size, accounting period and circumstances, so the appropriate reporting framework should be confirmed before preparation begins.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy a company's Corporation Tax obligations. A confirmation statement is also a separate filing to Companies House, so where several obligations are outstanding it is worth reviewing the whole compliance position.
