I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline for the company’s accounting reference period. When that deadline passes and the required accounts have not been delivered, the accounts are overdue. The deadline is not identical for every company — it can depend on factors such as whether a first set of accounts is being filed, the accounting reference date and the company’s individual circumstances — so a sensible starting point is to check the company’s Companies House record and establish exactly which accounting periods remain outstanding. Dealing with overdue accounts sooner rather than later usually makes the position easier to manage, because outstanding filings can build up over time: late-filing penalties may apply, the Companies House record continues to show the accounts as outstanding, and persistent non-compliance can increase the risk of further action being taken against the company. Filing the overdue accounts and any penalty already incurred are separate matters — delivering the accounts does not automatically cancel a penalty, and paying a penalty does not remove the requirement to file. Directors in Strelley should also keep in mind that a confirmation statement is a separate filing from annual accounts, and that Corporation Tax Returns such as the CT600 are submitted to HMRC rather than Companies House. Whether the outstanding accounts were originally prepared as micro-entity accounts, small-company accounts or another applicable form of statutory accounts depends on the company’s size, reporting framework and circumstances, and we can review that before anything is prepared or submitted.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300

£375
£750
3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Behind With Overdue Company Accounts Filing in Strelley? Our Accountants Can Prepare and File What Is Outstanding

Overdue accounts have a habit of feeling worse the longer they go unaddressed, and many directors delay simply because the records are out of date or the position is unclear. Micro Entity Accounts can take that first step with you — reviewing which accounting periods are outstanding, preparing the required statutory accounts, and assisting with Companies House filing so the company’s position can be brought back up to date. Where confirmation statements, HMRC matters or other filings also need attention, we can address those separately as part of a wider review of your outstanding filing requirements. Send us your details and we will look at where your company stands.

Company accounts become overdue when the applicable filing deadline has passed and the required accounts have not yet been delivered to Companies House. It is a question of whether the statutory accounts have been filed on time for the relevant accounting period, not simply whether the company has been trading. The deadline itself varies depending on the company's accounting reference period and its circumstances, so the first step is normally to check the company's filing history and confirm which periods remain outstanding.

There is no single reason. Common causes include a change of accountant, incomplete bookkeeping records, a director becoming unwell, a business that has stopped trading but not been closed, or simply a deadline that passed unnoticed. Whatever the reason, the accounts still have to be prepared and delivered where required, and the sooner the position is reviewed the easier it usually is to work through.

Yes. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue regardless of the company's trading position. Being dormant does not automatically exempt a company from filing, although the type of accounts that must be prepared can differ depending on the circumstances.

Yes. The penalty and the filing obligation are separate matters. Paying a Companies House late-filing penalty does not remove the requirement to prepare and deliver the outstanding accounts, and filing the accounts does not automatically cancel or reduce a penalty that has already been imposed. Where a penalty appeal is being considered, eligibility depends on the circumstances and the applicable Companies House rules.

In many cases, yes, but each outstanding period generally needs to be addressed separately, with its own set of accounts prepared and delivered. A company with more than one overdue period should expect to provide records covering each of those periods. We can review the filing history, confirm what is outstanding and work through the periods in order.

An overdue filing does not by itself mean the company's status has changed or that it has been removed from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or the company has been dissolved, the position may need separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing — we can explain the options and, where appropriate, refer you for specialist help.

Possibly, depending on the circumstances. Some companies that file late may qualify under the micro-entity reporting framework, which uses FRS 105, but not every company does. Eligibility depends on factors such as the company's size, its accounting period, its legal structure and the reporting framework that applies to it. It should not be assumed that overdue accounts are micro-entity accounts simply because the business is small. We check eligibility before deciding how the accounts should be prepared.

It depends on the periods being prepared, but typically we would ask for bookkeeping records, bank statements, invoices, expense records, any previous accounts and current company details. Micro Entity Accounts can review your company's outstanding filing requirements, prepare the statutory accounts for each overdue period, and assist with delivering them to Companies House. Where a confirmation statement, Corporation Tax Returns such as the CT600, or other HMRC matters are also outstanding, we can deal with those as separate matters alongside the accounts filing.
