I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

When Company Accounts Become Overdue, and Why It Is Worth Acting

A limited company, or another eligible entity, is generally required to deliver its annual accounts — often called statutory accounts — to Companies House by the applicable filing deadline. That deadline is not identical for every company: it usually depends on the company’s accounting reference period, whether this is a first set of accounts, and the company’s individual circumstances. When the relevant deadline passes and the required accounts have not been delivered, those accounts are treated as overdue, and the filing obligation itself does not go away simply because time has passed. Directors in South Staffs often discover the problem some time after the event. The paperwork was set aside, bookkeeping fell behind, a previous accountant stopped responding, or a dormant or non-trading period was assumed to need no action at all. Dormancy does not automatically remove the requirement to file annual accounts, and a company can be overdue even where it has not traded during the period in question. Whatever the reason, the practical starting point is the same: establish which accounting periods remain outstanding and prepare the accounts that Companies House expects to receive. Overdue accounts still need to be prepared under the reporting framework that applies to the company. Some companies may qualify to prepare micro-entity accounts under FRS 105, while others may need small-company accounts or another applicable form of statutory accounts, depending on size, structure, accounting period and eligibility. Once prepared, the accounts normally need to be reviewed and approved by the director before they are delivered to Companies House. Delays can also stretch beyond the accounts themselves — a confirmation statement, a Corporation Tax Return or another filing may be outstanding too, and each of these is handled separately. We can review what remains to be filed, explain the options that apply to your circumstances, and assist with preparing and filing the outstanding accounts.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable filing deadline has passed and the required statutory accounts have not yet been delivered to Companies House. That deadline is not the same for every company — it generally depends on the company's accounting reference period and its individual circumstances rather than one fixed date that applies across the board. Once the deadline has passed, the accounts remain outstanding until they are prepared, approved by the director and filed. Companies House may also take action where filing obligations are not met, and persistent non-compliance can increase the risk of further steps, so it is usually better to establish exactly what is outstanding sooner rather than later.

Yes, they can. A dormant or non-trading company can still have a Companies House filing obligation, and dormancy does not by itself remove the requirement to file annual accounts. If the accounts were due and were not delivered by the applicable deadline, they are overdue regardless of whether the company earned any income during that period. The position depends on the company's circumstances and the accounting period in question, so it is worth checking the Companies House record rather than assuming no filing was needed.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply is not the same in every case — it depends on factors such as how late the accounts are and the company's filing history, and Companies House applies its own rules when deciding whether one is due. A penalty is also a separate matter from the filing itself. We can review your position and explain what appears to apply, but no accountant can guarantee that a penalty will be reduced, removed or cancelled.

Yes. Paying a late-filing penalty does not settle the underlying filing obligation. The outstanding accounts must still be prepared and delivered to Companies House where required, and any penalty is dealt with separately under the applicable rules. In practice it usually makes sense to address both matters, particularly where other filings — such as a confirmation statement or a Corporation Tax Return — are also outstanding.

Each outstanding accounting period is generally treated separately, so more than one set of accounts may need to be prepared and filed. Filing a single period does not automatically clear the others. The work involved depends on how far the records go back and what information is available for each period, and we can review the Companies House record to establish which periods remain outstanding before anything is prepared.

Some companies may qualify to prepare accounts under the micro-entity framework, using FRS 105, and that can apply to overdue filings as well as current ones. Not every small company qualifies automatically, however, and the appropriate framework depends on the company's size, legal structure, accounting period and eligibility at the relevant time. Where a company does not qualify, small-company accounts or another applicable form of statutory accounts may be needed instead. We can confirm which framework applies once we have looked at the details.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, a confirmation statement is submitted to Companies House separately, and Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Filing overdue accounts does not automatically satisfy those other obligations, so it is sensible to check whether anything else remains outstanding at the same time and deal with each requirement on its own terms.

Micro Entity Accounts works with limited companies and other eligible entities in South Staffs that need help bringing outstanding accounts up to date. We can review the Companies House record, identify which accounting periods remain unfiled, prepare the accounts under the framework that applies, and assist with filing them once you have reviewed and approved the figures. Where relevant, we can also flag related matters such as confirmation statements or Corporation Tax obligations. Our accountants are qualified and regulated by ICAEW, ACCA and AAT, and pricing is set out clearly before any work begins.
