I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why Acting Early Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is normally measured from the company’s accounting reference date and can be affected by factors such as whether it is a first set of accounts or whether the accounting period has been changed. When that date passes and the required accounts have not been delivered, those accounts become overdue. The company’s record at Companies House will usually then show the filing as outstanding, and late-filing penalties may apply once the accounts are eventually submitted. It is important to recognise that the position is not identical for every company. The appropriate form of accounts depends on the company’s legal structure, accounting period, size, reporting framework and individual circumstances, so a company that previously filed micro-entity accounts or small-company accounts may face different requirements in a later period. Dealing with overdue accounts sooner rather than later is generally the better approach, because the longer a filing remains outstanding, the more the consequences can accumulate — including continued penalty exposure and a greater risk of action by Companies House for persistent non-compliance. Filing outstanding accounts is also only part of the picture. Confirmation statements, Corporation Tax obligations and other Companies House records may need to be addressed separately, so directors in Shoebury are usually best served by reviewing the full set of outstanding obligations rather than assuming that one filing resolves everything.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the filing deadline that applied to those accounts has passed and the required accounts have not yet been delivered to Companies House. The deadline is not the same for every company, as it depends on the company's accounting reference period and its particular circumstances, so the first step is usually to confirm which accounting periods remain outstanding and what Companies House currently holds on record. From there, the accounts can be prepared and submitted.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still be required to deliver annual accounts to Companies House, and those accounts can become overdue if they were not filed by the applicable deadline. A dormant company's accounts are often simpler to prepare, but the filing obligation does not disappear simply because the company has not traded. Depending on the circumstances, there may also be other outstanding obligations, such as a confirmation statement.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The penalty is not optional, and the amount can vary depending on how late the filing is and whether the company has filed late in previous periods. Paying a penalty does not remove the requirement to file the outstanding accounts, as these are separate matters. If you believe a penalty has been issued incorrectly, eligibility for an appeal depends on the circumstances and the applicable Companies House rules.

Often they can, but each outstanding period generally needs to be addressed separately. That means preparing a set of accounts for every period that remains undelivered, in the correct order, with the figures for later periods depending on the earlier ones. The work involved depends on the records available and the company's circumstances, and there is no single timescale that applies to every case. We can review what is outstanding and set out the sequence.

Overdue accounts do not automatically change a company's status, and a company with late filings is not automatically dissolved. However, Companies House can take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or the company has been dissolved, the situation is different and may require separate advice, including on restoration, rather than being treated as an ordinary late filing.

That depends on the company's legal structure, the accounting period concerned, its size and the reporting framework that applies to it. A company that filed micro-entity accounts in one period may not necessarily qualify in another, and not every small company is eligible for the micro-entity framework. Where a company does qualify, the micro-entity framework, using FRS 105, can be the appropriate basis. Eligibility is considered before any accounts are prepared.

This varies, but it commonly includes bookkeeping records, bank statements, sales and purchase invoices, expense records, details of any assets or liabilities, company details and, where they exist, previously filed accounts. The exact information required depends on the accounting period being prepared and the nature of the company's activity. If records are incomplete, we can discuss what is available and how best to reconstruct the figures.

No, these are separate compliance matters. Statutory accounts are delivered to Companies House, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and filing accounts with Companies House does not satisfy a company's Corporation Tax obligations. A confirmation statement is also separate from annual accounts and is filed with Companies House. Where any of these are also outstanding, they may need to be dealt with individually.
