I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts become overdue when the deadline for delivering them to Companies House has passed and the required accounts have not been filed. That deadline is not the same for every company. It is usually worked out from the company’s accounting reference date and whether the period is a first set of accounts or a later one, and it can also be affected by matters such as a change to the accounting reference date. Once the deadline has passed, the accounts remain outstanding until they are properly prepared and delivered to Companies House where required. Leaving them unaddressed does not make the obligation go away. A dormant company, a company that has not traded, or a company with no income in the period can still have an annual accounts filing obligation, so dormancy and overdue filing are separate issues. The longer accounts stay outstanding, the more likely it is that further consequences may follow, including late-filing penalties and, where non-compliance continues, an increased risk of compulsory strike-off action. What actually applies depends on the company’s own circumstances, and striking off is never automatic simply because one filing is late. Directors should also remember that filing statutory accounts with Companies House is a separate matter from Corporation Tax, and separate again from the confirmation statement. Where more than one accounting period is outstanding, each period generally needs to be addressed in its own right. Reviewing the company’s records is normally the quickest way to establish exactly what remains outstanding.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline has passed and the required accounts have not been delivered to Companies House. A company can reach that point for various reasons: the deadline may have been overlooked, bookkeeping records may be incomplete, a director may have assumed the company was not required to file because it was not trading, or there may have been a change of accountant or director. The reason does not change the position — the accounts remain outstanding until they are prepared and filed where required.

Yes. An overdue filing means the deadline has passed and the accounts remain outstanding; it does not remove the obligation to prepare and deliver them. The accounts still need to be prepared on the correct basis for the company and filed with Companies House where required. Where a company has fallen behind, the practical priority is usually to establish exactly which periods are outstanding and to bring them up to date in a sensible order.

It can. Dormancy and overdue filing are separate issues. A dormant company still has Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue. Dormant company accounts are usually shorter and simpler to prepare, but they are not automatically exempt from being filed, and the specific requirements depend on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on factors such as how late the filing is and the type of company, so it is not the same in every case. Paying a penalty is a separate matter from the filing obligation itself — settling a penalty does not cancel the requirement to prepare and deliver the outstanding accounts, and neither does paying it automatically resolve any other outstanding compliance matter.

In most cases several sets of accounts will need to be prepared and filed, with each outstanding period addressed separately on its own figures and reporting basis. It is usually sensible to work through them in chronological order so that the records reconcile properly and any opening balances are consistent. The amount of work involved depends on the number of periods outstanding, the quality of the records available and the company's circumstances, so we review the position before setting out what is required.

Where a company qualifies for the micro-entity framework and met the eligibility conditions for the period in question, its overdue accounts may be prepared on that basis, with FRS 105 as the applicable financial reporting standard. Qualification is not automatic. It depends on the company's legal structure, the accounting period concerned and whether the relevant size and eligibility criteria were met for that period. Some overdue accounts need to be prepared as small-company accounts or under another framework instead, and we confirm the correct approach before preparation begins.

No. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. A confirmation statement is a separate Companies House filing again. Filing overdue accounts does not automatically satisfy Corporation Tax obligations or replace the confirmation statement, so a company with several outstanding matters may need to deal with each of them individually. We can review what is outstanding and explain which filings fall where.

We review your company's filing history and records to establish which accounting periods are outstanding, then prepare the statutory accounts on the correct basis and assist with filing them at Companies House where required. Where relevant, we can also look at Corporation Tax obligations and confirmation statement requirements that run alongside the accounts. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and pricing is set out clearly in advance with no hidden costs.
