I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Are Overdue

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline, which is set by reference to the company’s accounting reference period rather than by a single date that applies to everyone. When that deadline passes and the required accounts have not been delivered, the accounts are treated as overdue — even if the company has not traded, has no income, or the director simply lost track of the date. Because the filing requirements depend on the company’s circumstances, its accounting periods and its reporting framework, the practical position can differ from one company to the next. What matters first is establishing which periods remain outstanding, confirming what has already been received by Companies House, and then preparing and delivering the missing accounts. Leaving overdue accounts unaddressed over a longer period may increase the level of late-filing penalty that can be applied, and persistent non-compliance can also affect how Companies House views the company’s overall filing record. For directors in Peterlee, the sensible route is usually to review the outstanding position early and deal with each accounting period in turn, rather than waiting for further correspondence to arrive.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. It is a question of whether the deadline has been met and whether the accounts have actually been filed — it is not determined by whether the company has traded, made a profit or generated any income during that period.

There are several common reasons. Directors may have assumed the deadline followed the financial year end exactly, bookkeeping records may not have been passed to an accountant in time, a company may have been quiet or dormant and therefore overlooked, or there may have been a change in directors or circumstances. Whatever the reason, the filing obligation itself does not disappear, and the sooner the position is reviewed the clearer the options tend to be.

Yes, in most cases the outstanding statutory accounts still need to be prepared and delivered to Companies House, subject to the applicable requirements for that company and accounting period. Filing the accounts and any late-filing penalty are separate matters: delivering the accounts does not by itself cancel a penalty, and a penalty does not remove the requirement to file. Where Corporation Tax returns such as a CT600 are also outstanding, those are separate obligations dealt with through HMRC rather than Companies House.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline then those accounts are overdue. Assuming that dormancy removes the need to file is a common and potentially costly misunderstanding, so it is worth confirming the position rather than leaving it unaddressed.

Companies House can apply a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and on the company's circumstances, so it is not the same in every case. Where a penalty has been issued, the scope to appeal or challenge it depends on the circumstances and the applicable Companies House rules, and an accountant cannot guarantee that a penalty will be reduced, removed or cancelled.

Yes. Paying a penalty does not satisfy the filing obligation. The requirement to prepare and deliver the outstanding accounts to Companies House remains, and the penalty is a separate matter arising from the late delivery. Dealing with one does not resolve the other, which is why it usually makes sense to address both the accounts themselves and any penalty correspondence as part of the same review.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, and where a company qualifies, micro-entity accounts prepared under FRS 105 may be appropriate for the period in question. This is not automatic and does not apply simply because a business is small. Eligibility depends on the company's legal structure, its accounting period and the qualifying conditions being met, so the appropriate framework should be confirmed before the accounts are prepared.

We can review which accounting periods remain outstanding, identify what information is needed to prepare each set of accounts, and then prepare and file the statutory accounts with Companies House on your behalf, following your review and approval before anything is submitted. Where more than one period is outstanding, we will work through them in a structured order. We can also point out any separate matters — such as Corporation Tax, HMRC correspondence or confirmation statements — that may need to be dealt with in their own right.
