I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally need to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its individual circumstances. Once that date passes without the accounts being delivered, they become overdue. The requirement to file does not disappear at that point, and where more than one accounting period is outstanding, each period may need to be prepared and delivered separately. Companies House can impose late-filing penalties when accounts arrive after the applicable deadline, and persistent non-compliance can increase the risk of further action, so it is usually better to establish exactly what is outstanding and deal with it rather than wait. Dormant status does not remove the obligation either: a dormant company can still have overdue accounts if the required accounts were not delivered by the relevant date. Depending on the company’s size, legal structure and reporting framework, the accounts may originally have been prepared as micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and that eligibility needs to be confirmed for each period rather than assumed. Directors in Perth who are unsure of their position can have their Companies House record reviewed, then work through each outstanding period in turn. Filing overdue accounts does not, on its own, resolve separate matters such as an outstanding confirmation statement, Corporation Tax Returns or any penalty that may already have been issued.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late
£750
£1,500
More than 6 months late
£1,500
£3,000

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory deadline for delivering the relevant accounts to Companies House has passed and those accounts remain outstanding. The applicable deadline depends on the company's accounting reference period and its circumstances, so it is not identical for every company. Being overdue is a filing position rather than an automatic change in company status, but the required accounts still need to be prepared and delivered where they are due.

In most cases, yes. If statutory accounts were due to be delivered to Companies House and have not been, the obligation to file them remains, whether or not the company traded during that period. Dormancy, no trading activity or minimal income does not normally remove the requirement to file. A late-filing penalty may also apply where accounts are delivered after the applicable deadline.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, they are overdue. Depending on the circumstances, accounts may be prepared on a dormant basis, but the company's eligibility and the correct reporting framework need to be considered before anything is submitted.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty position depends on the circumstances and how late the delivery is, and it sits separately from the requirement to file. The longer accounts remain outstanding, the more serious the consequences may become, and repeated failures to meet filing obligations can increase the risk of further action.

No. The requirement to prepare and deliver the outstanding accounts and any penalty that may apply are separate matters. Paying a penalty does not discharge the filing obligation, and delivering the accounts does not automatically cancel or reduce a penalty already issued. Where an appeal against a penalty is being considered, eligibility depends on the circumstances and the applicable Companies House rules.

Each outstanding accounting period is usually addressed separately, so several sets of accounts may need to be prepared and delivered. The information required for each period depends on the records available and the company's circumstances. Where a company qualifies, the micro-entity framework (FRS 105) may be appropriate for one or more periods, but that must be confirmed against the company's eligibility rather than assumed. Delivering one period does not resolve the others.

Not automatically. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Being overdue does not mean a company will necessarily be dissolved. If a strike-off notice has already been received, or the company has been dissolved, the situation may require separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing. Delivering overdue accounts does not automatically satisfy Corporation Tax obligations or replace an outstanding confirmation statement. Companies with several outstanding matters usually need to deal with each of them in turn.
