I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The date by which accounts must be filed is not identical for every company — it depends on factors such as the company’s accounting reference period, whether it is newly incorporated, and its individual circumstances — so the first practical step is usually to confirm exactly which periods remain outstanding. Once that deadline has passed, the filing obligation itself does not disappear: the accounts still need to be prepared and delivered where required, whether the company traded, was dormant, or had little or no activity during the period. Leaving accounts outstanding can allow the situation to build up, and the longer it continues, the more complicated it can become, particularly where several accounting periods are affected. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of further action, although this is not automatic and depends on the circumstances. Late delivery of accounts may also lead to a late-filing penalty, and dealing with that penalty is a separate matter from the requirement to file the accounts themselves. Directors in Northwood Hills who find themselves in this position do not need to work through it alone — the key is to establish what is outstanding, prepare the accounts on the correct basis, and bring the company’s Companies House records up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Not Sure How Many Accounting Periods Are Outstanding? We Can Review Your Filing Position and Help You Put It Right.

Overdue accounts often sit at the back of a long list of things to do, and the uncertainty about what is actually outstanding can make the whole situation feel worse than it is. Micro Entity Accounts can review your company’s filing history with you, confirm which accounting periods still need attention, and prepare the outstanding statutory accounts so they can be delivered to Companies House. We can also look at related obligations that may still be running alongside the accounts, such as confirmation statements or Corporation Tax matters, so nothing is overlooked. Whether you simply need a set of micro-entity accounts completed or several periods brought up to date together, we will explain each step in plain terms before anything is submitted for your review and authorisation. Tell us where your company currently stands and we will set out a clear route forward.

Accounts are overdue when the filing deadline that applied to your company has passed and the statutory accounts have not been delivered to Companies House. The deadline is not the same for every company — it reflects matters such as your accounting reference date and the company's particular circumstances — so it is worth confirming the exact position rather than assuming. Overdue accounts are not cancelled or excused by the passage of time; the filing obligation continues until the required accounts are prepared and submitted where they are due.

The reasons vary widely. Some directors assume nothing needs to be filed because the company did not trade or had minimal activity during the period, when in fact annual accounts may still be required. Others find that bookkeeping records were never completed, that an accountant relationship ended unexpectedly, or that a change of address meant reminder letters were never seen. In each case the practical outcome is the same: the deadline passes without a filing, and the accounts remain outstanding until they are prepared and delivered.

Yes, in most cases the requirement to file remains. Statutory accounts must be prepared and delivered to Companies House where required, and that obligation does not fall away simply because the deadline has been missed. Submitting the accounts and settling any late-filing penalty are two separate matters — paying a penalty does not remove the need to file, and filing does not automatically cancel a penalty that has already been issued.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of the company's dormant status. It is also worth remembering that a company does not become dormant simply because it has not traded — the relevant tests and the specific filing requirements depend on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty is not optional, and it is not the same for every company or every filing period. Filing the outstanding accounts does not, by itself, remove or reduce that penalty. If you believe a penalty was issued incorrectly or that there were grounds for the delay, an appeal may be possible depending on the circumstances and the applicable Companies House rules, and eligibility would need to be considered on a case-by-case basis.

Where several accounting periods have gone unfiled, each outstanding period generally needs to be addressed separately, which usually means preparing more than one set of accounts. It is important to work through them in the correct order, because later periods often depend on the figures brought forward from earlier ones. Filing a single set of accounts does not automatically resolve the remaining periods, so we would normally review the full filing history first and then confirm the sequence for dealing with each one.

An overdue filing does not automatically suspend a company or remove it from the Companies House register. However, Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If your company has already received a strike-off notice, or has been dissolved, the position may require separate restoration steps or legal advice rather than being treated as an ordinary overdue filing, and we can help you identify what applies to your situation.

Potentially, yes — where the company qualifies under the micro-entity framework and meets the relevant eligibility conditions. Micro-entity accounts are prepared under FRS 105, which is the financial reporting standard that applies to qualifying entities using that framework. Not every small company qualifies, though, and the right basis depends on the company's legal structure, accounting period, size and reporting framework. We would confirm the appropriate approach for each outstanding period before preparation begins.

Not automatically. Statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement goes to Companies House separately again. Bringing overdue accounts up to date does not, on its own, settle overdue Corporation Tax obligations or outstanding confirmation statements. Where those matters also apply, we can review them alongside the accounts so you have a clear picture of everything still outstanding.

It depends on the company and the periods being prepared. In practice we would usually ask for bookkeeping records, bank statements, invoices, expense records, any previously filed accounts, and up-to-date company details. Some companies will need very little beyond bank data, while others will have more complex records to work through. Once we see what you have available, we can tell you what is still needed for each accounting period so the accounts can be prepared accurately.
