I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean and Why They Should Be Addressed

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is linked to the company’s accounting reference period and its individual circumstances rather than a single date that applies to every business. When that deadline passes and the required accounts have not been delivered, those accounts become overdue, and the filing obligation itself does not disappear simply because time has moved on. Directors in Northfleet who have missed a filing date often find that the position becomes harder to resolve the longer it is left, because further accounting periods may fall due and other compliance matters can build up alongside them. It is worth being clear that an overdue filing does not mean a company’s status has automatically been suspended or removed from the register, and equally that delivering the outstanding accounts does not by itself cancel any late-filing penalty that Companies House may have applied, since the requirement to file and any penalty are separate matters. What needs to happen depends on the company’s legal structure, the accounting periods involved, whether the company was trading or dormant, and whether it originally needed to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. Where several periods are outstanding, each one may need to be addressed separately, and Corporation Tax obligations, confirmation statements and other Companies House information may also require attention independently of the accounts.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue Company Accounts FAQs

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline depends on the company's accounting reference period and its individual circumstances, so it is not the same for every company. If you are unsure whether a period is overdue, we can review your company's filing history and outstanding periods for you.

Not trading does not automatically remove the obligation to file. A company that has been dormant may still have annual accounts filing obligations at Companies House, and dormancy and overdue filing are two separate issues. A dormant company can therefore have overdue accounts if the required accounts were not delivered by the applicable deadline. The correct approach depends on the company's circumstances and what has already been filed.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty is not optional. The position varies between companies, and the longer accounts remain outstanding, the more serious the consequences may become. Paying a penalty does not remove the requirement to file the accounts, so the outstanding filing still needs to be prepared and delivered regardless.

No. A late-filing penalty and the requirement to deliver the accounts are separate matters. Settling a penalty does not discharge the obligation to prepare and file the outstanding accounts for the relevant period. Where a penalty has been applied, eligibility for any appeal depends on the circumstances and the applicable Companies House rules, and we can explain what options may be available.

Where more than one period is outstanding, each set of accounts generally needs to be prepared and filed separately, and filing one period does not automatically resolve the others. In practice, we usually work through them in order, starting with the earliest, so that the company's records and Companies House position are brought up to date in a logical sequence. The information needed for each period depends on the records available.

An overdue filing does not mean the company has automatically been suspended or removed from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If you have received a strike-off notice, or the company has already been dissolved, that situation may require separate restoration or legal advice rather than being treated as a routine overdue filing.

The information required depends on the company's circumstances and the accounting period being prepared. Typically we would ask for bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts where available, and current company information. We will confirm exactly what is needed once we understand your filing position and the periods involved.

No. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Submitting overdue accounts to Companies House does not satisfy HMRC Corporation Tax obligations, and filing accounts does not replace a confirmation statement. Where these matters are outstanding together, we can help you identify what needs to be dealt with and in what order.
