I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its individual circumstances rather than a single date that applies to every business. Once that deadline passes and the required accounts have not been delivered, those accounts are treated as overdue. Being overdue does not change the underlying obligation: the accounts still need to be prepared and filed, together with any other outstanding filings the company may have. Directors in Molesey sometimes assume that a quiet trading period, a dormant year or a lack of income means nothing needs to be submitted, but dormancy and overdue filing are separate matters and a dormant company can still have annual accounts obligations. It is worth dealing with outstanding accounts promptly, because the longer they remain unfiled, the more the position can develop — late-filing penalties may apply, Companies House records may be affected, and persistent non-compliance can increase the risk of further action. The appropriate form of accounts depends on the company’s structure, size, accounting period and reporting framework; some companies may qualify for micro-entity accounts under FRS 105, while others need small-company or another applicable form of statutory accounts. The information needed to prepare them also varies, and may include bookkeeping records, bank statements, invoices, expense records, previous accounts and company details. We can review your circumstances and explain what is required before anything is submitted.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. The accounts remain outstanding until they are prepared and filed. Being overdue does not mean the company has been dissolved or removed from the register — it means a filing obligation has not been met.

Yes. Where a company has a statutory accounts filing obligation, that obligation continues even after the deadline has passed. The accounts must still be prepared and delivered to Companies House where required. Any penalty that may have arisen is a separate matter and does not replace the requirement to file.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts obligations and a confirmation statement to submit, and if those filings were not made by the applicable deadline, the accounts can be overdue. Dormant status does not automatically remove filing requirements.

Late filing can lead to a late-filing penalty being issued by Companies House, and the amount can vary depending on how late the accounts are and the company's circumstances. The company may also need to deal with other outstanding compliance matters, such as Corporation Tax filings with HMRC or confirmation statements. Filing the accounts does not automatically cancel or reduce any penalty that has already been applied.

Yes. Penalties and filing requirements are treated separately. Paying a penalty does not remove the obligation to prepare and deliver the outstanding accounts. Equally, filing the accounts does not automatically mean an existing penalty will be withdrawn — penalty appeals depend on the circumstances and the applicable Companies House rules.

In many cases, yes, although each outstanding period may need to be addressed separately, with its own accounts prepared and filed. The work involved depends on how many periods are outstanding, the records available for each, and the applicable reporting framework. We can review the position and set out what is needed period by period.

Some companies may qualify for the micro-entity reporting framework, which is set out in FRS 105 for qualifying entities. However, not every company qualifies, and eligibility depends on factors such as the company's size, legal structure and accounting period. Even where a company has previously prepared micro-entity accounts, the appropriate framework needs to be confirmed before the overdue accounts are prepared.

Yes, they are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations. Where both are overdue, each needs to be addressed.

We can review which accounting periods are outstanding, explain what records and information are needed, prepare the relevant statutory accounts and assist with filing them at Companies House. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT. Where other filings or HMRC matters are also outstanding, we can identify them so they can be dealt with appropriately.
