I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Your Company

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The due date is not the same for every company: it generally depends on the company’s accounting reference period, whether it is filing for the first time, and its particular circumstances, so the deadline should always be checked against the company’s own records rather than assumed. Once that date has passed, the accounts remain outstanding until they are properly prepared and filed, and the obligation does not disappear simply because the company has stopped trading, has no income for the period, or is dormant. Directors in Medway who find themselves in this position should deal with the matter reasonably promptly, because the longer accounts stay outstanding, the more likely it is that further compliance issues arise. Depending on the circumstances, Companies House may apply a late-filing penalty, may take action in respect of continued non-compliance, and may flag the company’s filing record. Where more than one accounting period is outstanding, each period generally needs to be addressed separately. Working through overdue accounts properly means identifying the correct reporting framework — which might be micro-entity accounts, small-company accounts or another applicable form of statutory accounts — gathering the underlying records, and preparing figures that reflect the company’s actual position before submission. Micro Entity Accounts can review your outstanding filing requirements and assist with preparing and filing the accounts that are due.

Overdue company accounts are statutory accounts that should already have been delivered to Companies House but have not been filed by the applicable deadline. The accounts do not cease to be required simply because the date has passed — they remain outstanding until they are prepared and submitted. Because filing deadlines vary according to the company's accounting reference period and individual circumstances, the first step is usually to confirm which periods are actually outstanding.

There are several common reasons. Directors may have assumed the deadline was later than it was, a company may have stopped trading without anyone realising that filing obligations continued, bookkeeping may have fallen behind, or a change in accountant may have interrupted the preparation process. In some cases the accounts were partly drafted but never finalised or delivered. Whatever the cause, the position can usually be reviewed and the outstanding periods identified fairly quickly.

Yes, in most cases a dormant company still has Companies House filing obligations. Dormancy and overdue filing are separate issues: dormant status does not automatically remove the requirement to prepare and file annual accounts, and a dormant company can have overdue accounts if the required filing was not made by the deadline. There are limited exceptions, and whether they apply depends on the company's circumstances, so it is worth having the position checked.

Where statutory accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The penalty position is not identical for every company and depends on the circumstances and the length of the delay. Paying a penalty does not remove the requirement to file the outstanding accounts — the filing obligation and any penalty are separate matters. If you believe a penalty was issued in error, appeal eligibility depends on the circumstances and the applicable Companies House rules.

An overdue filing does not, by itself, mean the company is suspended or removed from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Submitting the accounts is not a guaranteed way to prevent or reverse strike-off. If a strike-off notice has already been received, or the company has been dissolved, that situation usually needs separate restoration or legal advice rather than being treated as an ordinary late filing.

Yes, in many cases multiple outstanding accounting periods can be worked through. Each period generally needs its own set of accounts prepared and filed, so filing one set does not automatically resolve the others. The volume of work depends on how many periods are outstanding and how complete the underlying records are. We can review the position and explain what is needed for each period before any figures are finalised.

It varies from company to company, but typically we would ask for bookkeeping or accounting records, bank statements, sales and purchase invoices, expense records, details of any assets or liabilities, previous accounts where available, and the company's registration details. If records are incomplete, that can often be worked around, but it does affect how the work is approached. The exact requirements depend on the accounting period being prepared and the company's circumstances.

They can where the company qualifies for the micro-entity framework — eligibility is not automatic just because a business is small. Where a company qualifies, micro-entity accounts may be prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Otherwise, small-company accounts or another applicable form of statutory accounts may be required. The legal structure, accounting period and eligibility all need to be considered before the framework is confirmed.
