I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Become Overdue

Company accounts become overdue when the statutory accounts that should have been delivered to Companies House are not filed by the applicable filing deadline. That deadline is not identical for every company. It depends on matters such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s individual circumstances, so the filing date recorded for your company on the Companies House register is the one that matters. Once that date has passed and the accounts remain outstanding, the obligation to file has not gone away — the accounts simply sit in arrears until they are prepared and delivered. Directors in Market Drayton sometimes assume that nothing needs to be filed because the company has not traded, has no income, or has been dormant for a period. That assumption is often misplaced. Even where a company is dormant, annual accounts may still need to be filed, and a dormant company can have overdue accounts just like a trading one. Dormancy and overdue filing are separate issues. Addressing the position early is usually the most practical route: it limits the number of outstanding periods, keeps the company’s Companies House records in better order, and gives directors a clearer view of what else may need attention, such as a confirmation statement or Corporation Tax matters. Where accounts are delivered after the deadline, Companies House can impose a late-filing penalty. The level of any penalty depends on the circumstances and the relevant Companies House rules, and the longer accounts remain overdue the more serious the consequences may become. Persistent non-compliance can also increase the risk of further action against a company, including compulsory strike-off in serious cases. It is important to keep two things separate: the penalty and the filing requirement. Paying a penalty does not remove the need to prepare and file the outstanding accounts. If a company has already received a strike-off notice or has been dissolved, the position is different again and may need separate restoration or legal advice rather than a straightforward accounts filing.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue when the statutory accounts that should have been delivered to Companies House have not been filed by the applicable deadline. That deadline varies between companies and depends on factors such as the accounting reference period and whether it is a first set of accounts, so the date shown on the Companies House register for your company is the relevant one. Once that date has passed with the accounts still outstanding, the filing obligation remains in place until the documents are prepared and delivered.

In practice, the usual reasons are incomplete bookkeeping records, a change of accountant, a period where the company did not trade, or a director assuming that nothing needs to be filed while the business is quiet. Personal circumstances such as illness or bereavement also play a part. Whatever the cause, the requirement to file does not disappear, and the sooner the position is reviewed the more manageable it usually is to bring the accounts up to date.

Yes. Where accounts should have been delivered to Companies House, that requirement continues until the documents are filed, whether the company is trading, dormant or no longer active. Filing the outstanding accounts is a separate matter from any late-filing penalty that may apply. Submitting the accounts does not automatically cancel a penalty, and paying a penalty does not remove the need to file.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have an obligation to file annual accounts with Companies House, and if those accounts are not delivered by the applicable deadline, they become overdue in exactly the same way as a trading company's accounts. Dormant status does not by itself remove or postpone the filing requirement, and dormant accounts may still need to be prepared and submitted.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The level of any penalty depends on how late the accounts are and on the company's circumstances, and the rules are set by Companies House rather than by the accountant preparing the accounts. The longer accounts remain overdue, the more serious the consequences may become, which is why directors generally find it better to deal with the arrears sooner rather than later.

Often these can be worked through as one project, but each outstanding accounting period generally needs its own set of accounts prepared and filed separately. Filing one set of accounts does not automatically resolve the others. We would normally begin by reviewing which periods are outstanding, what records are available for each, and the order in which they are best addressed, so the position is clear before any preparation starts.

Some companies may qualify for the micro-entity reporting framework, which is based on FRS 105, but eligibility depends on the company's size, legal structure and circumstances for the period in question. Not every small company qualifies, and an overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts. We would confirm the appropriate reporting framework before preparing any figures.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Filing overdue accounts does not automatically satisfy any outstanding Corporation Tax or confirmation statement obligations, so these may need to be addressed alongside the accounts, depending on the company's position.
