FRS 105 Micro Entity Accounts in Birkenhead

FRS 105 Micro Entity Accounts are the streamlined financial statements prepared under the UK micro-entities regime by companies that qualify for it and choose to apply it. FRS 105 provides the financial reporting framework itself, setting out how the accounts should be prepared, what must be included in the balance sheet and notes, and how the results are presented for the period. If you run a small limited company in Birkenhead, whether you trade locally on the Wirral or operate further afield, professional preparation can help make sure your accounts are built properly from your underlying financial records and reflect your company’s own circumstances rather than a generic template. That means looking at how your income and costs are recorded, what assets and liabilities the company holds, and whether the micro-entities regime genuinely suits your reporting needs. It also means keeping the accounting framework distinct from your other obligations, such as filing accounts with Companies House and submitting a separate Corporation Tax Return to HMRC. Good preparation gives you a clearer picture of your company’s position and a set of accounts that is consistent with the framework you have chosen.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: What the Micro-Entities Regime Means for Your Accounts

FRS 105 is the UK financial reporting standard designed for companies that meet the conditions to be treated as micro-entities. In simple terms, it is a simplified accounting framework: it limits what you must include, keeps to a historical cost approach, and removes some of the more complex measurement and disclosure requirements found in fuller standards. The key point is that the micro-entities regime is a choice. A company that qualifies can decide to apply it, and FRS 105 applies when that choice is made. A company that qualifies but prefers a different framework would generally report under FRS 102 instead. When FRS 105 is applied, the accounts typically consist of a concise balance sheet with limited notes, alongside the profit and loss information the framework permits to be omitted from the filed accounts but which still needs to be recorded internally. Because the content of FRS 105 financial statements is deliberately pared back, the risks tend to lie in the detail: getting the figures right, presenting the right headings, and making sure the accounts genuinely reflect the company’s transactions. Our job is to take your records and translate them into FRS 105 Micro Entity Accounts that are clear, internally consistent, and structured around the framework you have chosen.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime in Birkenhead

FRS 105 is intended for UK companies that qualify as micro-entities and decide to apply the micro-entities regime. The starting point is size. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Companies that are part of a group, or that fall within certain excluded categories, may be outside the regime even where their own figures look small, so the size tests are a useful indicator rather than a complete answer. Qualifying companies are not obliged to use FRS 105 — the regime is a choice, and once it is chosen the accounts are prepared under that standard. If a company qualifies but prefers a fuller reporting framework, FRS 102 is generally the alternative. For companies in Birkenhead and across the UK, the sensible approach is to have your figures and circumstances reviewed before accounts are prepared, so that the framework applied genuinely fits your company rather than an assumption that every small company can use FRS 105.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Professionally Prepared FRS 105 Accounts for Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts properly starts with the company’s own financial records. We work from your bookkeeping, bank and payment records, sales and purchase information, payroll data and asset details to build a set of financial statements that follows the requirements of FRS 105 as they apply to your circumstances. That includes producing the balance sheet, preparing the supporting notes the framework allows or requires, and making sure the figures are consistent from one period to the next so you have a reliable record of the company’s position. It is important to separate the different elements of your reporting. The accounts themselves may need to be filed with Companies House as part of your company’s filing obligations, while your Corporation Tax Return (CT600) is a separate submission made to HMRC, and your Confirmation Statement is a further, distinct filing. Preparing accounts under FRS 105 does not in itself determine your tax position, and filing accounts does not replace a CT600. We can help you understand which piece of work sits where, keep the accounts and the tax return aligned in terms of the underlying figures, and prepare the documentation you need. Because eligibility for the micro-entities regime depends on your individual circumstances, we assess your position before preparing accounts on that basis.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out the accounting and disclosure rules that apply when a qualifying company chooses to use the micro-entities regime. It is a deliberately simplified framework: it works on a historical cost basis and requires far less disclosure than fuller standards, which keeps the accounts short and straightforward. FRS 105 governs how the accounts are prepared — it is not a tax return, and it does not deal with how much Corporation Tax your company pays.

FRS 105 is available to companies that qualify as micro-entities and then choose to apply the regime. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions is not the whole picture, because other eligibility rules and exclusions can apply — for example, certain types of company cannot use the regime regardless of size. Eligibility needs to be checked against your specific circumstances before accounts are prepared on that basis.

No. The micro-entities regime is an available accounting regime, not an automatic requirement. A company that qualifies may choose to apply it, and FRS 105 applies when that choice is made. Where a qualifying company decides not to use the micro-entities regime, it would typically report under another framework such as FRS 102. The decision often comes down to whether you want the simplest possible set of accounts or need the extra presentation and measurement options a fuller standard allows.

Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities standard: it uses historical cost only, permits a much shorter set of notes, and keeps measurement simple. FRS 102, including the small companies provisions in Section 1A, offers more flexibility — for example, revaluation of certain assets and recognition of deferred tax — in exchange for more disclosure and more detailed accounting work. In practice, choosing between them is about matching the framework to what your company actually needs from its accounts.

Companies with filing obligations generally do need to deliver accounts to Companies House, and where those accounts are prepared under FRS 105 they would be filed as micro-entity accounts. The filing itself sits alongside, and is separate from, your other company obligations. If you are unsure what your company is required to file and when, check the current guidance from Companies House or ask us and we will point you in the right direction.

Yes, they are two different things. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities accounting framework. A CT600 is a Corporation Tax Return submitted separately to HMRC, and it deals with the company's tax position rather than its financial reporting framework. The two need to be consistent with each other in terms of the underlying figures, but preparing accounts does not remove the need to submit a tax return, and vice versa. Your Confirmation Statement is a third, separate filing.

It is possible for a newly incorporated company to prepare its first set of accounts under FRS 105, provided it qualifies for the micro-entities regime and chooses to apply it. Whether it qualifies depends on its size in the relevant period and on whether any of the eligibility rules or exclusions affect it — meeting the size conditions alone does not automatically guarantee eligibility. For a first accounting period, the figures may cover a shorter or longer stretch than a full year, so it is worth having the position reviewed before deciding.

We normally need a clear picture of the company's transactions for the period: bookkeeping or accounting software records, bank and payment provider statements, sales invoices and purchase receipts, payroll information if you employ staff, details of any equipment or other assets bought or sold, loan and director's loan account information, and stock or work-in-progress figures where relevant. If this is not your first set of accounts, your previous accounts and opening balances are useful too. Having these ready makes the preparation smoother and reduces the number of queries that come back to you later.

Companies House has been moving towards accounts being filed in a structured digital format through software, and micro-entity accounts are expected to fall within that change, with more information filed than the current abbreviated presentation. Exact requirements and timings are set out in official guidance, so it is worth confirming the current position before you file. If you would like your accounts prepared and filed under the arrangements that apply to your period, speak to us and we will work with the requirements in force at the time.
